航錦科技(000818.SZ)子公司擬向泓林微增資2250萬元
格隆匯2月14日丨航錦科技(000818.SZ)公佈，2020年2月14日，公司全資子公司威科電子模塊(深圳)有限公司(“威科電子”)與林海立、羅鳳、劉偉和郝立志於上海市共同簽署了《關於泓林微電子(崑山)有限公司之增資協議》，由威科電子、林海立、羅鳳、劉偉和郝立志，對泓林微電子(崑山)有限公司(“泓林微”)以貨幣方式進行增資，增資金額人民幣4000萬元。其中，威科電子以貨幣方式增資2250萬元；增資後，威科電子佔泓林微註冊資本的45%，系控股股東。
泓林微是國內技術領先的基站天線及射頻器件供應商，在射頻芯片的建模和仿真，毫米波通訊用射頻器件的(SiP/AiP)系統級封裝與測試等領域已具備成熟的技術。泓林微主營業產品包括無線射頻核心模組、器件和基站天線，業務體系完備，可與上市公司形成產業協同、業務協同和人員協同，產品具有較強的擴展和延伸能力。
泓林微擁有一支強大的研究隊伍：公司創始人林海立先生，獲得上海交通大學電磁場與微波技術專業博士學位(包括微波通信、衞星通信等)，師從上海交通大學射頻和毫米波領域的權威專家毛軍發院士。其他團隊成員還包括博士後、博士、海外歸國人才等，核心成員有在華為、谷歌等大型公司任職多年的履歷，並先後主持、研究多項國家自然科學基金項目、裝備預研項目等重點研發課題。
泓林微在射頻器件研發上取得了豐碩成果，併成功供貨各大航天、電子、兵器等軍工研究所；公司擁有發明專利2項、實用新型專利23項，產品可應用於5G通訊/6G衞星通訊、智能手機、無人機、物聯網、汽車等多個民用領域以及雷達、探測等軍用領域。
投資完成後，公司內部產業協同效應繼續增強，上市公司將形成集高頻材料和射頻器件研發與設計的高頻通訊產業鏈，提高公司在 5G通訊和衞星通訊領域核心器件的競爭實力。
(1)此次投資完成後，公司內部協同效應進一步增強：泓林微可與威科射頻、威科電子形成產業鏈上下游的協同效應，將在5G/6G通信領域的研發、生產、封裝和測試上開展全面合作、協同發展。由威科射頻提供高頻材料，泓林微進行芯片設計、功能應用開發和SiP封裝設計，威科電子形成封裝測試和最終產品銷售。
同時泓林微研發團隊在微波通訊、射頻領域的研發實力和公司的天線產品，對於武漢導航院開發衞星通訊、星空互聯網的相關產品提供天線和技術支持，可以提高公司在星空互聯網領域的產業協同效應。
(2)此次投資完成後，泓林微的資產規模達到了華為一級供應商的要求，泓林微將密切與華為合作，儘快將泓林微提升為華為的一級供應商(自2018年中美貿易摩擦後，泓林微已經成為華為的二級供應商)。
(3)此次投資完成後，公司計劃打造5G通訊領域內具有產業運營能力的亞毫米波/太赫茲材料特性和天線測試平台；利用自身的技術積累和研發成果，打造支持毫米波天線阻抗及輻射特性測試平台，平台建成後可以承接華為及其它重要客户的設備測試和材料特性測試，有利於公司進一步開拓與包括華為在內的通訊設備生產商的密切合作。
