思創醫惠：為加快在醫療物聯網領域的深度佈局 擬收購盈網科技20.31%的股權
格隆匯2月9日丨思創醫惠(300078.SZ)公佈，為加快公司在醫療物聯網領域的深度佈局，加速公司募投項目“物聯網智慧醫療溯源管理項目”的落地實施，公司決定以自有資金4000萬元人民幣受讓杭州達嶸投資管理合夥企業(有限合夥)(“達嶸投資”)持有的杭州盈網科技有限公司(“標的公司”、“盈網科技”)16%的股權；以自有資金1078萬元人民幣受讓寧波梅山保税港區惠瑞投資管理合夥企業(有限合夥)(“寧波惠瑞投資”)所持有的盈網科技4.31%的股權。此次轉讓完成後，公司持有盈網科技38.41%的股權。
盈網科技經營範圍：技術開發、技術服務、技術諮詢、成果轉讓:計算機軟硬件、計算機信息技術、物聯網技術、雲計算技術、計算機信息系統集成、計算機網絡技術、電子產品；生產、銷售:電子產品、計算機軟硬件(依法須經批准的項目,經相關部門批准後方可開展經營活動)
醫療是物聯網技術的重要應用領域。公司2018年度非公開發行股票募投項目之一“物聯網智慧醫療溯源管理項目”即是基於RFID技術以及物聯網共性開放平台，利用物聯網技術對醫用清潔物資進行自動識別、定位、監控和管理，為醫院提供國際領先的全流程閉環管理服務。盈網科技是一家專業從事醫療健康物聯網產品研發、銷售以及提供平台解決方案的高新科技企業。
盈網科技研製開發的智能櫃產品系列配套軟件以及物聯網雲管理平台系統是公司募投項目“物聯網智慧醫療溯源管理項目”中硬件設備配套軟件系統的重要組成部分，有助於完善公司智能被服管理的整體解決方案，有助於公司募投項目的迅速落地實施。此外，盈網科技的物聯網設備接入管理技術以及豐富的網絡設備、傳感標籤產品，對公司在醫療物聯網領域的進一步佈局也有良好的協同作用。因此，此次對外投資符合公司整體戰略目標，有利於提升公司的盈利能力和綜合競爭力。
