贛鋒鋰業(002460.SZ)子公司擬認購Exar Capital不超68.88萬股新股併為其提供不超4000萬美元財務資助
格隆匯2月7日丨贛鋒鋰業(002460.SZ)公佈，公司於2020年2月7日召開的第四屆董事會第三十九次會議審議通過了《關於批准全資子公司贛鋒國際認購Exar Capital部分股權併為其提供財務資助暨關聯交易的議案》，同意公司全資子公司GFL International Co.,Limitied(“贛鋒國際”)以自有資金不超過約68.88萬美元認購Exar Capital BV(“Exar Capital”)不超過約68.88萬股新股,此次交易完成前，贛鋒國際持有Exar Capital37.5%的股權，美洲鋰業持有Exar Capital62.5%的股權。此次交易完成後，贛鋒國際將持有ExarCapital不超過51%的股權。
此次交易完成後，同意贛鋒國際為Exar Capital提供總額不超過4000萬美元的財務資助額度，以幫助Exar Capital償還其相關借款。
Exar Capital是荷蘭的一家礦產投資與貿易公司，成立於2018年10月，註冊地址為WTC Schiphol Airport, D Tower 11th FloorSchiphol Boulevard 359, 1118 BJ Amsterdam Schiphol(阿姆斯特丹史基浦機場大道1118號史基浦機場世貿中心大廈11樓D座)。截至公告披露日，Exar Capital尚未上市。贛鋒國際持有Exar Capital37.5%的股權，美洲鋰業持有Exar Capital62.5%的股權。
此次對Exar Capital公司進行股權投資併為其提供財務資助是為了幫助公司取得Exar Capital以及阿根廷Minera Exar公司控股權，優化Exar Capital的債權債務關係，幫助推動Minera Exar位於阿根廷Jujuy省的Cauchari-Olaroz鋰鹽湖項目建設進度，有利於公司業務拓展，提高核心競爭力，符合公司上下游一體化和中國新能源汽車產業發展戰略。此次交易會使公司現金流產生一定的淨流出，但不會對公司正常的運營資金產生明顯的影響。此次交易對公司2020年度的財務狀況和經營成果影響很小。
