贛鋒鋰業(002460.SZ)：荷蘭贛鋒擬1632.65萬美元認購阿根廷Minera Exar公司約1438.95萬股新股
格隆匯2月7日丨贛鋒鋰業(002460.SZ)公佈，公司於2020年2月7日召開的第四屆董事會第三十九次會議審議通過了《關於贛鋒國際全資子公司荷蘭贛鋒認購阿根廷Minera Exar公司部分股權並對其進行增資涉及礦業權投資暨關聯交易的議案》，同意公司全資子公司贛鋒國際的全資子公司Ganfeng Lithium Netherlands Co., B.V.(“荷蘭贛鋒”)以自有資金約1632.65萬美元認購阿根廷Minera Exar公司約1438.95萬股新股，此次交易完成後，荷蘭贛鋒將持有Minera Exar51%的股權。同意荷蘭贛鋒按持股比例再對阿根廷Minera Exar公司進行增資，增資金額不超過2億美元。
MineraExar是阿根廷的一家礦業和勘探公司，成立於2006年，註冊地址為Palma de 4 Carrillo 54, Planta Baja Of. 7, San Salvador deJujuy (4600) Argentina。截至公告披露日，Minera Exar尚未上市。贛鋒國際通過全資子公司荷蘭贛鋒持有Minera Exar50%的股權，美洲鋰業持有Minera Exar50%的股權。Minera Exar擁有位於阿根廷Jujuy省的Cauchari-Olaroz鋰鹽湖項目。
Cauchari-Olaroz採礦權：開採礦種：鋰鹽湖礦，礦區面積：Minera Exar向阿根廷Jujuy省礦業部提出了面積為60,712公頃的勘探和採礦許可證申請；到目前為止已獲批28,717公頃，可以完全滿足項目設計產能開發要求，有效期限：MineraExar只要遵守相關採礦準則的義務，採礦許可證就沒有到期日。
該礦主要產品為含鋰鹽湖滷水生產的電池級碳酸鋰，主要作為生產鋰電池正極材料的原材料。
此次交易有利於公司業務拓展，增強核心競爭力，符合公司上下游一體化和中國新能源汽車產業發展戰略。此次交易會使公司現金流產生一定的淨流出，但不會對公司正常的運營資金產生明顯的影響。此次交易完成後，公司將會對阿根廷Minera Exar公司實施控股，獲得多數管理委員會和董事會席位，阿根廷MineraExar公司的資產將合併計入公司財務報告。公司將幫助推動Cauchari-Olaroz鋰鹽湖項目建設進度，以保證項目順利建成投產。此次交易對公司2020年度的財務狀況和經營成果影響很小。
