皖新傳媒(601801.SH):確認公司向關聯方租賃物業 應支付租金合計3.95億元

格隆匯2月7日丨皖新傳媒(601801.SH)公佈,公司於2016年實施創新型資產運作模式,因過渡性安排,過渡期內公司子公司的房屋租賃事項構成了關聯交易,目前至不可撤銷的剩餘全部租賃期限內,公司下屬公司應向項目公司支付租金總額合計約為3.95億元。

公司第三屆董事會第二十次(臨時)會議、2016年第四次臨時股東大會審議通過了《關於公司內部資產重組的議案》及《公司關於以部分自有門店物業為標的資產開展創新型資產運作模式暨涉及首發部分募集資金投資項目相關資產轉讓的議案》,公司在以16處自有門店物業的房產權及對應的土地使用權出資設立13家“書店管理有限公司”(簡稱“項目公司”)後,以16處自有門店物業的房產權及對應的土地使用權作為標的資產,分為“資產包一”和“資產包二”開展創新型資產運作模式。

由於2020年2月26日為興業皖新閲嘉資產支持證券優先收購權行權日,作為過渡性安排,擬按創新型資產運作模式方案計劃,由安徽皖新融資租賃有限公司(簡稱“皖新租賃”)行使優先收購權先進行回購,承接興業皖新閲嘉資產支持證券項下資產及權益後,再儘快向第三方進行轉讓。

皖新租賃系公司控股股東安徽新華髮行(集團)控股有限公司的全資子公司。由於過渡性安排,在過渡期內,興業皖新閲嘉資產支持證券項下的5家項目公司與公司5家下屬公司之間的租賃業務構成了關聯交易,但不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。

皖新租賃承接興業皖新閲嘉資產支持證券項下資產及權益,僅是過渡期的安排。目前,皖新租賃與意向受讓方就承接興業皖新閲嘉資產支持證券項下資產及權益事項正在進行商談,待完成資產及權益轉讓事項後,公司下屬公司與項目公司之間的租賃事項將不再構成關聯交易。
