匯頂科技(603160.SH)：收購恩智浦旗下語音及音頻應用解決方案業務的交割手續已履行完畢
格隆匯2月4日丨匯頂科技(603160.SH)公佈，誠如之前公告披露，公司通過現金支付的方式購買NXP B.V.(“恩智浦”)旗下的語音及音頻應用解決方案業務(Voice and Audio Solution，“VAS”)，交易價格為1.65億美元(本金額未包含此次交易可能產生的各項税費及簽約到交割前被轉讓債務及淨庫存調整額及其他費用，該等費用將由交易各方按交易文件約定及相關規定承擔)。交易模式為匯頂科技通過匯頂科技(香港)有限公司(“匯頂香港”)在恩智浦VAS業務所在的部分國家設立孫公司，與匯頂科技及其現有子公司一起承接VAS業務相關的固定資產、存貨、專屬技術及知識產權、尚在履行中的合同(“標的資產”)，以及標的資產所包括的合同關係與指定人員。
公司在2019年8月16日與恩智浦簽署的《資產購買協議》的基礎上，於2020年2月3日與恩智浦及其子公司完成簽署此次交易涉及的《資產購買協議補充協議》及附屬的《知識產權轉讓及許可協議》《製造服務協議》《過渡期服務協議》和《當地業務轉移協議》，並最終確定此次交易的交割日為2020年2月3日，交易雙方於2020年2月3日完成VAS業務相關的固定資產、存貨、專屬技術及知識產權(相關專利的質押在交割日前均已全部解除)、尚在履行中的合同，以及標的資產所包括的合同關係與指定人員的轉移與確認。
根據交易相關協議的約定，自2020年2月3日起，標的資產範圍內的全部資產、負債、業務、人員及其他一切權利與義務均轉由匯頂科技或各地子公司或孫公司享有和承擔；自交割日起，標的資產中涉及需要辦理權屬變更手續的資產，無論其是否已辦理完成形式上的權屬變更手續，該等資產所涉及的各項權利、義務、風險及收益均自交割日起轉移至匯頂科技或各地子公司或孫公司，匯頂科技或各地子公司或孫公司為相關標的資產的唯一所有權人。
截至公告出具之日，此次交易標的資產的交割手續已履行完畢，各方正積極配合，盡一切努力辦理標的資產所需履行的全部權屬變更手續，相關權屬變更手續的辦理不存在實質障礙。
