順灝股份(002565.SZ)子公司擬50萬澳元收購HFA100%股權
格隆匯2月2日丨順灝股份(002565.SZ)公佈，公司全資子公司雲南綠新生物藥業有限公司(“雲南綠新”)於2020年1月31日與Elixinol Global Limited(澳大利亞股票交易所上市公司，股票代碼：EXL，“EXL”)簽訂了股權轉讓協議，雲南綠新以50萬澳元的價格收購EXL全資子公司Hemp Foods Australia Pty Ltd(“HFA”)的100%股權。雲南綠新此次股權收購前未持有HFA股權，股權轉讓完成後，雲南綠新將持有HFA100%股權。此外，順灝股份將與EXL簽訂商標和專有技術許可協議，EXL將授權其擁有的與工業大麻衍生的CBD產品有關的任何和所有技術訣竅、技術、發明、發現、想法、過程、方法、設計、計劃、指令、規格、配方、測試和其他協議、設置、程序以及其他機密或專有的技術、科學、工程、商業或財務信息，在許可的期限內授予順灝股份在指定地域(中國大陸，台灣，香港和澳門)使用。
Hemp Foods Australia Pty Ltd經營範圍：有機大麻食品及護膚護髮產品的製造、批發、零售和出口。
商標許可協議如下：1.EXL將委任順灝股份為其獨家持牌人，使用各種EXL商標，並指導如何在中國大陸及台灣、香港和澳門製造和分銷EXL品牌的大麻衍生CBD產品。2.該牌照將於股權購買協議規定的完成日期開始，並自順灝股份開始為中國大陸、台灣、香港和澳門的任何EXL產品開具首個客户發票之日起，延續三年。3.EXL將能夠審計和檢查順灝股份根據許可協議生產的製造設施、營銷材料和產品，以確保符合EXL的產品標準。
公司通過收購HFA，可以拓展公司在工業大麻相關衍生產品的下游應用場景；公司將藉助HFA在漢麻籽油，漢麻籽蛋白人造肉漢堡，CBD化粧品等系列產品的技術專利，為未來大中華區產品開拓做技術和產品的儲備。通過此次收購協議及配套授權許可協議，可以獲得工業大麻籽及工業大麻源CBD的市場銷售資源、產品開發經驗以及國際品牌授權，建立起與國際工業大麻行業的產業聯繫，為下一步CBD原料產品的國際市場推廣奠定基礎，同時還可以藉助Elixinol的高品質CBD生產和品質標準，提升雲南綠新生物藥業未來的產品品質，獲得更多的國際市場認可。公司工業大麻相關衍生產品的具體市場還受宏觀經濟、行業週期、等因素影響，存在一定不確定性，敬請投資者注意風險，理性投資。
