格隆匯1月24日丨星星地產(01560.HK)公佈,於2020年1月24日,公司擬以4.2億港元向控股股東陳文輝收購Metropolitan Group (BVI) Limited全部股權及相關貸款,將以部分現金和部分發行可轉債支付。

其中可轉債金額為3.78億港元,年息3%,為永續期債券,初步轉換價每股0.65港元,較1月24日收市價折讓約7.14%。

目標公司為一間投資控股公司。於公告日期,目標集團公司以"城市(Metropolitan)"品牌經營下列業務:(i)服務式公寓業務;(ii)酒窖及葡萄酒業務;(iii)倉儲業務及工作間業務;及(iv)其他業務。

公告稱,集團之物業發展業務與目標集團之業務享有強大的協同效應目標。集團將進行重組,據此目標公司將收購經營提供時尚生活空間(包括公寓、工作室、儲藏室和酒窖)業務的經營實體。近年來,全球物業行業正發展出一種集成方法,其中居住空間與酒窖、靈活存儲空間和共同工作空間等不同生活方式設施相結合。董事相信,提供具有生活方式元素的這類居住空間將成為全球物業市場(包括香港物業市場)之未來趨勢。通過在我們的發展項目(例如觀塘地盤項目、元朗地盤項目、Tack Lee項目等)中經營生活方式業務,亦可為集團帶來協同效應,從而可能在未來提升不同已開發物業價值。

以定期收入鞏固集團之投資物業組合。公司主要從事物業發展及物業投資包括出售、租賃或資本增值,提供物業管理服務及提供融資服務。於2019年6月30日,集團投資物業組合包括位於香港的泊車位,賬面總值約810萬港元。截至2019年6月30日止六個月,物業投資分部產生之收益約21.2萬港元。董事會認為收購知名品牌(如"城市(Metropolitan)"品牌)連同其相關投資物業有助本集團加強及提升其資產基礎價值,同時可為本集團取得穩定及定期收入。此外,根據獨立物業估值師,與直接租出整項物業予獨立第三方相比,提供生活方式相關業務項下經營之增值服務(如共同工作空間及靈活存儲空間)預期可提升將產生之租金收入及投資物業之價值。
