盈康生命(300143.SZ)：2019年度計提商譽減值7.5億元-8億元 預虧7億元-7.05億元
格隆匯1月23日丨盈康生命(300143.SZ)披露2019年度業績預告，公司預計2019年1-12月歸屬於上市公司股東的淨虧損7億元—7.05億元，上年同期盈利5016.66萬元。業績變動原因如下：
1、戰略優化和經營策略調整，導致短期內費用上升；
2019年度，公司以“物聯網腫瘤治療綜合生態品牌”為定位，聚焦用户最佳體驗，堅持創業、創新精神，緊跟物聯網時代智慧醫療發展趨勢，不斷迭代產品與服務，致力於給用户帶來腫瘤治療全週期的生態服務。隨着戰略優化和經營策略調整，導致短期內費用有所上升。
(1)醫療服務板塊：聚焦“腫瘤治療及康復第一聯想度”的目標，將進一步圍繞提升腫瘤患者的體驗，提升腫瘤患者的生命質量為初心，以腫瘤放療的差異化為切入，繼續補充提升腫瘤篩查、腫瘤手術、腫瘤康復、腫瘤護理為特色的綜合服務能力，讓患者享受一站式的腫瘤治療康復體驗，形成與公立醫院相補充的服務體系。為提升實現戰略目標的能力，公司調整醫院科室佈局，加大市場拓展力度，使得費用上升，對當期利潤造成一定影響。
(2)醫療器械板塊：瑪西普以“物聯網腫瘤治療科技生態品牌”為定位，以“創盈康科技腫瘤治療綜合方案第一聯想度”為引領目標，引進大量優秀人才，搭建研發、銷售、供應鏈組織，在不斷提升伽瑪刀產品的性能和精度的基礎上，加速佈局其他腫瘤治療設備的研發。
通過銷售策略、市場策略、產品策略的優化和迭代，由賣單一伽瑪刀設備向為用户提供腫瘤治療綜合場景解決方案轉型升級，由傳統銷售轉變為以客户最佳體驗為中心的網格型組織，夯實了公司可持續發展的基礎。2019年的戰略重塑和聚焦，使得費用增加，對當期利潤造成一定影響。
隨着2019年公司經營策略的調整和戰略佈局的逐步落實，公司經營質量穩步提升，將積極迎接行業發展的新機遇。
2、本報告期較上年同期利息費用增加；
2018年8月至2018年11月期間，公司向銀行借入併購貸款人民幣4億元，該併購貸款於2019年產生利息費用2926.23萬元，利息費用較上年同期增加約2089.87萬元。對於該筆貸款，公司已於2020年1月10日利用低利率資金完成置換。
3、大額計提商譽減值準備；
近年來，公司進行了一系列的產業投資併購，先後收購了瑪西普醫學科技發展(深圳)有限公司、杭州怡康中醫腫瘤醫院有限公司(杭州中衞中醫腫瘤醫院有限公司於2019年11月20日更名為杭州怡康中醫腫瘤醫院有限公司)、四川友誼醫院有限責任公司等公司。通過收購，公司確立並深化了以“提供高端放療設備和優質醫療服務雙管齊下、協同發展”的經營戰略，不斷推進腫瘤醫療服務領域全產業鏈的發展，但也形成了較大金額的商譽。
根據公司實際經營情況，公司判斷因收購資產產生的有關商譽存在減值跡象，按照《企業會計準則第8號—資產減值》、《會計監管風險提示第8號—商譽減值》等相關規定的要求，公司對收購形成的商譽進行了初步減值測試，預計本期計提的商譽減值總額為人民幣7.5億元—8億元。目前商譽減值測試的評估工作正在進行，公司本期計提的商譽減值金額以最終的審計、評估結果為準。
4、公司預計2019年非經常性損益的金額約為800萬元。
