聚龍股份(300202.SZ)：對控股股東紓困資管計劃設立完成
格隆匯1月23日丨聚龍股份(300202.SZ)公佈，公司於近日收到控股股東柳永詮和聚龍集團的通知，由鞍山城投、申萬宏源證券和海通證券推動的對公司控股股東的紓困事項取得了實質性進展，相關紓困工作已完成上述兩家紓困資產管理計劃的設立，具體情況如下：
1、公司於2019年12月20日發佈了《關於控股股東擬獲得紓困基金支持的提示性公告》(公告編號：2019-119)，鞍山城投、申萬宏源證券和中國光大銀行股份有限公司北京分行簽訂了《證券行業支持民企發展系列之申萬宏源聚龍1號集合資產管理計劃資產管理合同》，由鞍山城投出資1億元，申萬宏源證券出資4億元，為本次紓困事項設立了“證券行業支持民企發展系列之申萬宏源聚龍1號集合資產管理計劃”，該資產管理計劃由申萬宏源證券作為管理人，中國光大銀行股份有限公司北京分行作為託管人，主要用於承接控股股東柳永詮和聚龍集團在申萬宏源證券開展股票質押式回購業務的相關負債。該資產管理計劃為封閉式集合資產管理計劃，管理期限為兩年。截至公告日，上述資產管理計劃已完成備案設立工作，控股股東柳永詮已將其持有的公司股份5100萬股質押到該資產管理計劃；聚龍集團已將其持有的公司股份1660萬股質押到該資產管理計劃。
2、近日，鞍山城投、上海海通證券資產管理有限公司與交通銀行股份有限公司簽訂了《證券行業支持民企發展系列之海通證券資管8號鞍山集合資產管理計劃資產管理合同》，由鞍山城投出資3000萬元，上海海通證券資產管理有限公司出資9000萬元，為本次紓困事項設立了“證券行業支持民企發展系列之海通證券資管8號鞍山集合資產管理計劃”。該資產管理計劃由上海海通證券資產管理有限公司作為管理人，交通銀行股份有限公司作為託管人，主要用於承接控股股東柳永詮在海通證券開展股票質押式回購業務的相關負債。該資產管理計劃為封閉式集合資產管理計劃，存續期為成立之日起的3年。截至公告日，上述資產管理計劃已完成備案設立工作，控股股東柳永詮已將其持有的公司股份1968.9999萬股質押到該資產管理計劃。
上述資產管理計劃僅涉及債權的承接，不涉及控股股東、實際控制人股權轉讓事項，不會導致公司控股股東、實際控制人發生變化，不會對公司治理結構及持續經營產生重大影響，也不存在損害上市公司及其他股東利益的情形。
截至公告日，控股股東柳永詮持有公司股份1.2516億股，佔公司總股本的22.78%，其所持有上市公司股份累計被質押1.2389億股，佔總股本的22.55%。聚龍集團持有公司股份1.1437億股，佔公司總股本的20.81%，其所持有上市公司股份累計被質押8115.9987萬股，佔總股本的14.77%。
