天倫燃氣(01600.HK)擬2.8億元收購沈丘縣匯鑫天然氣的100%股權
格隆匯1月22日丨天倫燃氣(01600.HK)宣佈，公司間接全資附屬河南天倫於近日與賣方訂立一份股權轉讓協議，據此，河南天倫同意向賣方收購目標公司沈丘縣匯鑫天然氣的100%股權，總代價為人民幣2.8億元。
目標公司位於河南省沈丘縣，該縣作為河南省的東大門，是連接中原經濟圈和華東經濟圈的"交匯點"。沈丘縣擁有中石油西氣東輸一線淮陽分輸站淮陽—項城管道氣源，並計劃於近期啟用界首新奧以及界首海特兩家公司的西氣東輸一線管道氣源，充足的氣源量為公司未來經營提供強力保障。該目標公司業務運營成熟穩定，目前已有居民用户9.6萬户(城市用户5.5萬户，鄉鎮用户4.1萬户)，工商業450户，2019年年銷氣量約2,200萬方，接駁户數3.4萬户。此外，氣源運輸管線443公里，已基本覆蓋下屬19個鄉鎮，後續工程投資較小，可快速實現成規模的居民工程項目。沈丘縣現有人口約140萬人。2030年城區規劃總人口49.5萬人，約16.5萬户；鄉鎮人口約105萬人，約24.75萬户，未來居民接駁發展潛力巨大。沈丘縣交通快捷便利，2019年年底已正式通車的鄭合高鐵項目以及貫通全境的寧洛高速，將加速城市人口淨流入，帶動當地房地產、商業的進一步發展。沈丘縣積極推動城鎮工業化進程，規模以上工業增加值的增速位居周口市第三位，並且安鋼周口鋼鐵有限公司的入駐將帶動千萬噸產能的鋼鐵產業園發展，工業銷氣業務將實現質的飛躍。此外，該縣依託河南省內唯一通江達海的內陸港口，境內的沙潁河港口2,000噸以下的船舶常年通航，引進培育一批以冶金、建材、新能源為主的臨港工業項目，目前目標公司已與51户工業用户建立長期穩定合作，未來發展態勢良好，工業用户銷氣量必將穩步上升。
通過此次收購，集團可進一步擴大公司在河南省內的煤改氣業務覆蓋範圍。同時，該項目將與集團在河南省已運營的城市燃氣項目形成協同效應，進一步增強集團在河南省內的市場佔有率。
