中國核能科技(00611.HK)擬斥資7748萬元收購光伏發電項目
格隆匯1月21日丨中國核能科技(00611.HK)發佈公告，2020年1月21日，公司間接全資附屬公司中核(南京)(作為買方)與蘇州協鑫(作為賣方)訂立蘇州買賣協議，據此，中核(南京)同意收購蘇州協鑫直接全資附屬阜陽衡銘太陽能電力有限公司(目標公司A)全部股權，代價總額約為人民幣3496.59萬元。
同日，中核(南京)(作為買方)與蘇州協鑫直接全資附屬公司江蘇協鑫(作為賣方)訂立江蘇買賣協議，據此，中核(南京)同意收購江蘇協鑫直接全資附屬鎮江協鑫新能源有限公司(目標公司B)全部股權，代價總額為人民幣4251萬元。
目標公司A在中國註冊成立，主要業務活動為太陽能光伏電發電、太陽能電力、節能環保產品及光伏電設備及組件技術開發、技術服務及技術轉讓；光伏電設備及能源銷售，以及光伏電站營運。目標公司A為蘇州協鑫就其於中國安徽省阜陽市潁東區呂寨村20MW農光互補光伏發電項目成立的特殊目的實體，並獲得了併網手續文件。
目標公司A已就有關光伏電發電設備訂立約人民幣1.1億元的融資租賃交易。於此方面，目標公司A已籤立以蘇州融資方為受益人的項目收費權質押及就光伏電發電設備抵押。此外，蘇州協鑫已籤立以蘇州融資方為受益人的蘇州押記，作為融資租賃交易的質押。
目標公司B在中國註冊成立，主要業務活動為太陽能發電；太陽能電站基建建設；資訊系統集成(特定法規所列者除外)；企業管理；太陽能發電技術開發、技術轉移及技術諮詢；光伏電設備及部件銷售；及水產養殖。目標公司B為江蘇協鑫就其於鎮江市丹徒區上黨鎮20MW分佈式漁光互補光伏發電項目成立的特殊目的實體，並獲得了併網手續文件。
目標公司B已就有關光伏電發電設備訂立約人民幣8179萬元的融資租賃交易。於此方面，目標公司B已籤立以江蘇融資方為受益人的項目收費權質押及就光伏電發電設備抵押。此外，江蘇協鑫已籤立以江蘇融資方為受益人的江蘇押記，作為融資租賃交易的質押。
公司認為，蘇州收購事項及江蘇收購事項將能使集團收購優質資產以擴張集團發電業務。
