東方精工(002611.SZ)：2019年度扭虧為盈 預盈15億元-20億元
格隆匯1月20日丨東方精工(002611.SZ)披露2019年度業績預告，公司預計2019年1-12月歸屬於上市公司股東的淨利潤為15億元～20億元，上年同期虧損約38.76億元。公司2019年度歸屬於上市公司股東的淨利潤變動的主要原因如下：
1. 報告期內，公司根據與北京普萊德新能源電池科技有限公司(“普萊德”)之五家原股東和普萊德簽署的《協議書》之約定，實施完成了對業績補償糾紛之“一攬子解決方案”項下相關的交割工作。根據相關企業會計準則的規定，公司在報告期內確認了在《協議書》項下普萊德股東履行業績補償責任、公司出售普萊德100%股權等事項對公司2019年度損益的影響。公司在2019年12月7日披露的《重大資產出售報告書《草案》(修訂稿)》中，對“業績補償實施對公司2019年度業績的影響”説明如下：
“計算業績補償實施對公司2019年度業績的影響時，根據相關準則規定，公司應當以“業績補償股份回購註銷時公司股票的市場價格×實際回購註銷的股份數量”計算得出的金額，確認業績補償對公司2019年度經營業績影響。鑑於二級市場股價波動較大，公司暫按前次收購時發行股之發行價(9.2元/股)除權除息後的價格(5.71元/股)測算出的金額16.67億元確認業績補償的實施對2019年度業績的影響。若截至2019年12月31日，公司一攬子解決方案之《協議書》已生效、公司已經開始辦理業績補償股份的回購註銷工作，但尚未辦理完畢，則確認業績補償對公司2019年度經營業績影響則應採用公司股票(002611S.Z.)在2019年12月31日的收盤價為基礎計算的數據。業績補償實施對2019年度業績的影響金額，以公司《2019年年度報告》中披露的、經註冊會計師審計後的相關數據為準。”
截止2019年12月31日，《協議書》已正式生效，公司已向深圳證券交易所提交業績補償股份回購註銷工作的申請材料。業績補償股份回購註銷工作最終辦理完成時間為2020年1月初。截止2019年12月31日收盤，公司股票收盤價格為4.25元/股。根據相關企業會計準則規定，經公司財務部門測算，業績補償實施對公司2019年度業績的影響金額約為12.5億元。
該部分影響金額將全部計入2019年度非經常性損益。最終數據以公司《2019年年度報告》中披露的、經註冊會計師審計後的相關數據為準。
2. 2019年度，公司“高端智能裝備”業務板塊受益於下游行業市場集中度的提升和國際市場需求增長的趨勢，延續了自2018年以來的增長勢頭，營收和利潤均實現穩健增長。經公司財務部門測算，2019年度“高端智能裝備”業務板塊貢獻的經營性利潤預計為2億元~3億元。
