贏合科技(300457.SZ)：上海電氣成為公司控股股東 上海國資委成為公司實控人
格隆匯1月15日丨贏合科技(300457.SZ)公佈，公司於2019年11月12日披露了《關於控股股東、實際控制人簽署
<股份轉讓協議>
、
<放棄全部表決權的承諾函>
、
<業績承諾協議>
及
<股份質押合同>
暨公司控制權擬發生變更的提示性公告》，公司控股股東、實際控制人王維東、許小菊夫婦與上海電氣集團股份有限公司(“上海電氣”)於2019年11月11日簽署了《股份轉讓協議》、《業績承諾協議》及《股份質押合同》，同日王維東、許小菊夫婦出具了《放棄全部表決權的承諾函》。
公司於2019年12月18日收到中國證券登記結算有限責任公司深圳分公司出具的《證券過户登記確認書》，此次權益變動涉及的股份已完成過户登記手續，過户日期為2019年12月17日。
公司於2020年1月15日召開了2020年第一次臨時股東大會，審議通過了《關於公司董事會提前換屆暨選舉公司第四屆董事會非獨立董事候選人的議案》及《關於公司董事會提前換屆暨選舉公司第四屆董事會獨立董事候選人的議案》，上海電氣提名的董事佔公司董事會半數以上席位選舉已完成。
公司原控股股東、實際控制人王維東、許小菊與上海電氣於2019年11月11日簽署了《放棄全部表決權的承諾函》，根據《放棄全部表決權的承諾函》，王維東、許小菊夫婦承諾於董事會完成調整之日(含當日)或2020年3月31日(含當日)孰早者起，放棄其持有公司剩餘全部股票的表決權，直至上海電氣在公司的持股比例超出王維東、許小菊夫婦不低於10%。
截至公告披露日，《放棄全部表決權的承諾函》約定的條件已經滿足，王維東、許小菊自2020年1月15日召開的公司第四屆董事會第一次會議決議生效起放棄其持有公司剩餘全部股票的表決權。
鑑於王維東、許小菊已放棄剩餘全部表決權，上海電氣持有公司36,589,932股，佔公司目前總股本的9.73%且上海電氣提名的董事佔公司董事會半數以上席位，上海電氣成為公司的控股股東，上海市國資委成為公司的實際控制人。
