*ST鹽湖(000792.SZ)：資產包的前六次公開拍賣均已流拍 匯信資產管理30億元受讓資產包
格隆匯1月12日丨*ST鹽湖(000792.SZ)公佈，根據《財產管理及變價方案》的規定，對擬處置財產，以評估機構出具的專項評估報告確定的擬處置資產評估值的70%作為首次拍賣的起拍價格，首次拍賣公告期為七日，競價期為公告期屆滿後24小時；前次拍賣未能成交的，下次拍賣降價幅度不超過30%，根據《中華人民共和國拍賣法》的規定，每次拍賣的公告期為七日，每次拍賣的競價期為公告期屆滿後24小時。每次拍賣流拍後，管理人均可以選擇繼續降價拍賣，或者通過協議轉讓等方式予以變價處置。據此：
公司管理人已分別於2019年11月23日9時至2019年11月24日9時、2019年12月2日9時至2019年12月3日9時、2019年12月11日9時至2019年12月12日9時、2019年12月20日9時至2019年12月21日9時、2019年12月31日9時至2020年1月1日9時、2020年1月9日9時至2020年1月10日9時在淘寶網司法拍賣網絡平台上就鹽湖股份資產包進行了六次公開拍賣，但因在規定的拍賣期間無人蔘與競拍，前六次公開拍賣均已流拍。
完成鹽湖股份資產包剝離處置是破產重整工作的重要組成部分，但在前述將近2個月的持續公開拍賣中，無人蔘與競拍。基於重整工作的推動及虧損資產剝離的客觀需求，2019年12月27日，公司管理人與青海匯信資產管理有限責任公司(“匯信資產管理”)簽訂《資產收購框架協議》，雙方約定：如管理人後續繼續採取公開拍賣或協議轉讓的方式處置鹽湖股份資產包，且無其他主體願意以超過人民幣(下同)30億元的價格通過參與第六次拍賣或者協議受讓方式受讓鹽湖股份資產包的，匯信資產管理將以30億元的價格受讓鹽湖股份資產包，受讓方式包括參與第六次拍賣或直接協議受讓前述資產。為履行《資產收購框架協議》之目的，匯信資產管理已將3億元收購保證金支付至管理人指定的銀行賬户。
因鹽湖股份資產包的前六次公開拍賣均已流拍，且無其他受讓人願意以超過30億元的價格受讓前述資產，現管理人將依據《資產收購框架協議》的約定，與匯信資產管理協商簽訂正式的《資產收購協議》，以30億元的價格協議轉讓鹽湖股份資產包，匯信資產管理已支付的3億元收購保證金將自動轉變為應付資產買受價款的一部分。正式的《資產收購協議》預計近期即可簽署，後續公司將依法如實履行信息披露義務。
