京基金融國際(01468.HK)擬343萬港元收購兩間附屬公司剩餘股權
格隆匯1月9日丨京基金融國際(01468.HK)宣佈,於2020年1月9日,公司附屬擬收購京粵財富管理有限公司剩餘49%股份,代價為343萬港元。同日,公司以3港元收購Affluent Range Limited剩餘49%股份。
於公告日期,京粵財富管理主要從事財富管理及投資產品諮詢服務;Affluent Range Limited擁有兩間全資附屬公司,即KKFO;及KKMS。KKFO主要從事向附屬公司A提供客户轉介服務。KKMS為一間暫無營業公司,自其註冊成立以來尚未開展任何業務。KKMS用作KKFO的成本中心。
董事會相信,收購事項將令公司取得該兩間附屬公司的完整所有權;確保公司有關主要業務(即財富管理及投資產品諮詢)的增長策略有效落實;令該兩間附屬公司得以於集團層面完全並表;提升對股東之財務透明度;及消除涉及由該等賣方另行持有之為數可觀的少數權益的價值流失。
