利亞德(300296.SZ)及子公司與元豐新科技及晶宇光電(廈門)組建合資公司簽訂投資協議
格隆匯1月9日丨利亞德(300296.SZ)公佈，近日，公司及全資子公司利亞德光電集團系統集成有限公司(“利亞德集成”)與台灣晶元光電股份有限公司(“晶元光電”)的全資下屬公司元豐新科技股份有限公司(“元豐新科技”)及晶宇光電(廈門)有限公司(“晶宇光電(廈門)”)就組建合資公司事宜簽訂《投資協議》。
各方共同出資，設立合資公司，依法開展生產和經營活動。合資公司為中國法人，應當遵守中華人民共和國的法律、法規，並受中國法律的管轄和保護。合資公司住所設在江蘇省無錫市樑溪區金山北工業園金山四支路9號。合資公司股東分別以其所認繳的出資額為限對合資公司承擔責任，並依各自所實繳的股權比例分享利潤、承擔虧損。
合資公司的經營範圍擬定為Mini LED元器件的生產與銷售、LED自發光顯示模組的生產與銷售、信息顯示管理系統與集成電路產品的生產與銷售。
合資公司的註冊資本為人民幣3億元。其中，利亞德以1.173億元現金認購合資公司1.173億元註冊資本，利亞德集成以3270萬元現金認購合資公司3270萬元註冊資本，晶宇光電(廈門)以8730萬元現金認購合資公司8730萬元註冊資本，元豐新科技以6270萬元現金認購合資公司6270萬元註冊資本。
利亞德在LED顯示方面的技術、產品和市場在LED應用產業為龍頭企業，晶元光電在LED晶粒研發、生產行業為龍頭企業，雙方強強聯合，成立合資公司將強有力地推進LED行業Mini LED和Micro LED這一顯示新技術、新方向的發展及落地，將進一步擴大利亞德在LED行業的影響力。
公司與晶元光電全資子公司成立合資公司，業務內容包含Mini LED和Micro LED在大陸的設計研發、生產、銷售等整條“產業鏈”。在無錫市樑溪區設立的項目基地建成後，將成為全球首個能夠運用巨量轉移技術實現最小尺寸Micro LED顯示產品大規模量產的基地，能夠極大推進Micro LED市場的佈局和發展。
