文山電力(600995.SH)受託管理廣南電力公司資產和業務
格隆匯1月9日丨文山電力(600995.SH)公佈，為進一步統一、優化文山配電網的規劃、建設和運營，促進文山地區輸電網和配電網的協同發展，充分發揮公司的配電網管理和運營優勢，確保文山電網安全、穩定、經濟運行，更好地服務文山州經濟社會發展。公司於2020年1月8日與雲南電網公司簽訂了《委託管理協議》，公司第一大股東雲南電網公司委託公司對其控股的廣南縣電力有限責任公司(廣南電力公司)的資產和業務進行管理，管理期限5年，自2020年1月8日至2025年1月7日，每年委託管理費用510萬元人民幣，託管期間，雙方可根據實際託管情況，對託管費用進行調整。按照5年託管期限計算，委託管理費用總計約2550萬元人民幣。
雲南電網公司為公司第一大股東，持有公司30.66%的股份。根據《上海證券交易所股票上市規則(2019年4月修訂)》等有關規定，雲南電網公司為公司的關聯方。公司此次受託管理廣南電力公司的資產和業務。此次關聯交易為公司受託管理關聯人的資產和業務的行為。託管內容如下：
1.安全生產管理
廣南電力公司實行安全生產目標責任制，嚴格執行安全生產管理的有關規定。公司按照委託方雲南電網公司對廣南電力公司的安全生產目標任務履行相關管理職責，承擔相應管理責任。
2.配電網規劃建設管理
廣南電力公司配電網規劃建設按照當地國民經濟和社會發展的需要，結合廣南縣配電網安全經濟可靠運行的情況，由委託方雲南電網公司進行投資，公司組織實施、履行相關管理職責，承擔相應管理責任。
3.市場營銷管理
由公司對廣南電力公司的日常營銷業務開展專業化管理，公司履行相關管理職責，承擔相應管理責任。
4.電網調度管理
廣南電力公司的配電網調度管理整合到公司進行統一配電網調度管理，公司履行相關管理職責，承擔相應管理責任。
5.機構、人員及薪酬管理
廣南電力公司的員工勞動關係不變，工資及福利等成本由委託方雲南電網公司承擔，公司負責廣南電力公司的薪酬及績效管理。
6.黨工團管理
廣南電力公司的黨組織、工會、團組織關係由公司進行管理。
此次公司受託管理廣南電力公司的資產和業務，有利於進一步統一、優化雲南省文山地區配電網的規劃、建設和運營；有利於促進文山地區輸電網和配電網的協同發展，充分發揮公司的配電網管理和運營優勢，確保文山電網安全、穩定、經濟運行，更好地服務文山州經濟社會發展。此次公司受託管理廣南電力公司的資產和業務，公司履行相關管理職責，承擔相應管理責任；按照合理成本加合理利潤收取委託管理費用，公司合併財務報表範圍未發生變更，不會對公司的財務狀況和經營成果產生不利影響。
