森源電氣(002358.SZ)擬設立兩家全資子公司 充分發揮智慧工廠和智能製造優勢
格隆匯1月2日丨森源電氣(002358.SZ)公佈，為更好的推進公司發展戰略，促進產業與資本的良性融合，提高公司運營效率，激發員工積極性，公司擬以自有資金出資2億元人民幣設立全資子公司河南森源變壓器有限公司、出資1億元人民幣設立全資子公司河南森源開關有限公司。董事會授權管理層全權負責辦理有關工商變更登記等手續，上述公司名稱以工商行政管理部門核准登記為準。
河南森源變壓器有限公司經營範圍：電力變壓器、變壓器台成套系列產品研發、設計、生產、銷售和安裝維修服務；變壓器鐵心、散熱器、油箱、儲油櫃、電磁線、絕緣件等元件、部件、材料的設計、生產和銷售；高低壓配電成套裝置、高低壓電器元器件系列產品開發、生產和銷售；新能源發電（太陽能、風能等）配套電力設備的研發、設計、生產和銷售；自動化控制設備的研發、設計、生產和銷售；軌道交通及鐵路電氣化系列產品的研發、設計、生產和銷售；電力工程技術諮詢服務；從事貨物及技術進出口業務。
河南森源開關有限公司經營範圍：電力系統、軌道交通及新能源用高壓開關、隔離開關和接地開關、高壓熔斷器產品、智能化操動機構系列產品的研發、設計、生產、銷售和安裝維修服務；模具及工裝夾具的設計、生產、維修和銷售；對外機械加工及表面處理；鈑金件、金屬構件的設計、生產和銷售；變壓器鐵心、散熱器、油箱、儲油櫃、電磁線、絕緣件等元件、部件、材料的設計、生產和銷售；高低壓配電成套裝置、高低壓電器元器件系列產品開發、生產和銷售；新能源發電（太陽能、風能等）配套電力設備的研發、設計、生產和銷售；自動化控制設備的研發、設計、生產和銷售；電力工程技術諮詢服務；從事貨物及技術進出口業務。
公司此次投資設立上述全資子公司，將充分發揮智慧工廠和智能製造優勢，進一步實現新技術、新工藝的開發和融合，有利於豐富產品結構調整，拓展差異化市場，滿足市場多元化需求，有利於維持公司品牌優勢，提升公司核心競爭能力。上述全資子公司設立後，不存在新增關聯交易和同業競爭的情形，此次投資由公司以自有資金分期出資，對公司的財務狀況不會產生重大影響。
