東山精密(002384.SZ)子公司擬向深圳東山購買益穆盛99.9944%出資份額
格隆匯12月31日丨東山精密(002384.SZ)公佈，公司全資子公司東莞東山精密製造有限公司(“東莞東山”)於2019年12月30日與深圳東山精密製造有限責任公司(“深圳東山”)、公司控股股東、實際控制人袁永剛簽署了《資產購買協議書》。東莞東山擬向深圳東山購買寧波梅山保税港區益穆盛投資合夥企業(有限合夥)(“寧波益穆盛”或“益穆盛”)99.9944%出資份額(“交易標的”)。此次交易對價以東莞東山持有的對深圳東山資產轉讓相關債權支付，差額通過支付現金的方式進行補足。袁永剛與深圳東山已簽署《合夥權益轉讓協議》，根據該協議，袁永剛將其持有的益穆盛99.9944%的合夥份額轉讓給深圳東山，袁永剛不再享有標的資產對應的合夥權益，而深圳東山即成為寧波益穆盛有限合夥人，擁有《寧波梅山保税港區益穆盛投資合夥企業(有限合夥)之合夥協議》及相關補充協議約定的有限合夥人的權利和義務。此次交易價格以評估或估值報告為基礎協商確定，目前評估或估值工作尚在進行中。此次交易標的預估值為8.05億元。
寧波益穆盛主要對外投資為通過合肥裕芯控股有限公司間接持有的安世集團2.38%股權，安世集團為整合器件製造企業(Integrated Device Manufacture，即IDM)，產品線主要分為雙極性晶體管和二極管、邏輯及ESD保護器件和MOSFET器件，其分立器件、邏輯器件、MOSFET器件的主要產品市場佔有率均位於行業前列，並在技術能力、客户、盈利能力等方面具有較好的發展基礎，發展狀況較好。
公司定位於核心器件供應商，為消費電子、電信、工業、汽車、AI等行業客户提供智能互聯解決方案；安世集團為世界一流的半導體標準器件供應商，處於公司產業鏈上游；實際控制人投資寧波益穆盛，主要目的亦是為公司佈局半導體業務。公司通過此次關聯交易，整合了實際控制人持有的寧波益穆盛份額，從而投資安世集團，符合公司的戰略方向。
此次交易對價主要為東莞東山應收深圳東山資產轉讓相關債權，通過此次交易，深圳東山對東莞東山的資產轉讓相關債務全部履行完畢，有利於減少公司與關聯方間的關聯往來，增強公司獨立性，提升了公司資產質量，有利於維護上市公司利益。
