雙箭股份(002381.SZ)：雙井投資擬轉讓5.1%股份予城投公司
格隆匯12月30日丨雙箭股份(002381.SZ)公佈，2019年12月30日，公司接到公司控股股東、實際控制人沈耿亮一致行動人雙井投資的通知，雙井投資於2019年12月30日與城投公司簽署了《關於浙江雙箭橡膠股份有限公司之股份轉讓協議》(“《股份轉讓協議》”)，約定雙井投資將其持有的雙箭股份2100萬股無限售條件流通股(佔公司總股本比例的5.10%)以協議轉讓方式轉讓給城投公司，轉讓價格為人民幣7.50元/股，股權轉讓價款合計人民幣1.575億元。
控股股東、實際控制人沈耿亮及虞炳英、沈凱菲、張樑銓為雙井投資的一致行動人，此次權益變動不會導致公司控股股東、實際控制人發生變化。
此次權益變動系公司控股股東、實際控制人沈耿亮及其一致行動人虞炳英、沈凱菲、張樑銓、雙井投資引進戰略投資者，通過協議轉讓方式向桐鄉市屬國有企業城投公司出讓部分公司股權，有利於進一步優化公司股權結構，加深公司與國企之間的戰略合作，並藉助國企強有力的資金及資本優勢、政策資源、業務來源、銀行渠道等，為公司長期戰略發展佈局提供全方位的支持，不斷提升公司的行業地位和競爭優勢，為實現公司的長遠發展提供有力保障，切實維護公司及中小股東的權益。
城投公司基於對公司經營管理及發展理念的認同，以及對公司長期投資價值的認可而實施的股權受讓。
此次權益變動後，雙井投資持有公司股份1375萬股，佔公司總股本的3.34%，雙井投資一致行動人沈耿亮、虞炳英、沈凱菲、張樑銓分別持有公司股份8611.03萬股、2261.12萬股、5萬股、4.25萬股，分別佔公司總股本的20.92%、5.49%、0.01%、0.01%。雙井投資及其一致行動人合計持有公司股份1.23億股，佔公司總股本的29.78%。此次權益變動不會導致公司控股股東、實際控制人的變更，也不存在損害公司及其他股東利益的情形。同時此次股份轉讓對公司的人員、資產、財務、業務、機構等方面的獨立性不產生影響。此次權益變動後，雙井投資不再是公司持股5%以上的股東，城投公司將成為公司持股5%以上的股東。
