光明地產(600708.SH):擬共同收購寧波嘉佳置業100%股權且承擔相應債務
格隆匯12月27日丨光明地產(600708.SH)公佈,公司以人民幣7710.784萬元通過協議轉讓方式收購寧波鴻德房地產開發有限公司所持有的寧波嘉佳置業有限公司80%股權且承擔相應債務(即人民幣約1.93億元),收購總金額人民幣約2.7億元。
同時,公司全資子公司上海農工商華都實業(集團)有限公司以人民幣1927.696萬元通過協議轉讓方式收購自然人孫佳健所持有的寧波嘉佳置業有限公司20%股權且承擔相應債務(即人民幣4832.30404萬元),收購總金額約人民幣6760萬元。
寧波嘉佳擁有一個開發項目,項目名稱為“寧波市杭州灣新區201035#地塊五星級酒店及服務式公寓”(備案名),但企業未辦理房地產開發資質或暫定資質。項目地塊位於杭州灣新區現代服務休閒區,北鄰濱海二路,西鄰濱海大道,東鄰臨江綠化帶及蘆汀路,南鄰規劃支路,整個地塊呈規則矩形。待開發項目工程曾於2011年開工,後因原施工方五洋建設集團股份有限公司寧波分公司破產導致於2013年停工,2014年上半年由新施工方寧波市鄞州建築有限公司重新開工,後因工程規劃方案調整,2015年5月起再次停工,截至2019年5月,該開發項目仍處於停工狀態。目前地基部分已全部完工,但開發項目具體竣工日期尚未確定。
此次交易是公司通過發揮傳統兼併收購優勢,獲得新的綜合型資源,進一步加大對全國重點准入城市的土地儲備力度,不斷提升公司核心競爭力,符合公司戰略發展佈局與整體經營需要,對於企業轉型升級具有積極的意義。
