迪馬股份(600565.SH)子公司東原澄方擬實施員工股權激勵計劃
格隆匯12月26日丨迪馬股份(600565.SH)公佈，公司全資子公司重慶東原澄方實業有限公司作為物業發展平台，旗下“東原物業”品牌不斷升級服務質量，逐步突破傳統業務模式，在外拓和增值業務兩方面發展迅速，為進一步完善東原澄方法人治理結構，健全激勵約束機制，充分調動東原澄方中高層管理人員的積極性，確保發展戰略和經營目標的實現，現擬實施此次員工股權激勵計劃。
此次實施原則：以激勵子公司經營管理層和核心員工與所在企業共同成長為目的，以合法合規、公平、公正、公開、自願為原則，根據相關法規以及公司及子公司業務實際發展情況，制定、實施子公司員工股權激勵計劃。
激勵對象為東原澄方及旗下子公司的董事、高級管理人員及其發展有較大貢獻和影響的核心人員共計13名。上述激勵人員不涉及在上市公司任職董事、監事及高級管理人員的情況。
激勵對象出資入夥有限合夥企業，通過有限合夥企業作為持股平台對東原澄方進行增資。具體實施方式如下：
1、成立的持股平台(有限合夥企業)
此次股權激勵人員出資入夥設立有限合夥企業作為參與東原澄方股權激勵的持股平台，該持股平台為天津盛益合企業管理諮詢合夥企業(有限合夥)(以工商登記為準)。
天津盛益合企業管理諮詢合夥企業(有限合夥)合夥人均為此次股權激勵員工，其中，普通合夥人為2名激勵員工，共計持有有限合夥企業0.10%的份額；有限合夥人11名，共計持有有限合夥企業99.90%的份額。目前，天津盛益合企業管理諮詢合夥企業(有限合夥)尚在工商備案登記過程中。上述激勵人員不涉及在上市公司任職董事、監事及高級管理人員的情況。
2、持股平台以增資形式持有東原澄方不超過20%的股權。
持股平台對東原澄方進行增資，增資後，持股平台持有東原澄方不超過20%的股權，激勵對象間接持有東原澄方的股權。
3、激勵價格
以東原澄方註冊資本為依據，激勵對象通過持股平台以1元/股的價格參與股權激勵。
4、股權激勵授予日
東原澄方員工股權激勵計劃授予日為2019年12月26日(即公司董事會審議激勵計劃通過日)。
激勵對象獲利途徑為激勵對象間接持有子公司股權的獲利途徑為：子公司盈利分紅；滿足一定條件後轉讓份額或股權。
