宗申動力(001696.SZ)擬轉讓左師傅公司100%股權及兩家子公司擬分別向物必達公司增資400萬元
格隆匯12月23日丨宗申動力(001696.SZ)公佈，根據公司戰略發展規劃，公司擬將持有的全資子公司—左師傅連鎖銷售服務有限公司(“左師傅公司”)100%股權轉讓給公司關聯方—重慶物必達網絡科技有限公司(“物必達公司”)。鑑於經評估的左師傅公司股東全部權益價值為-237.48萬元，經公司與物必達公司協商，為保障上市公司和中小股東利益，此次股權轉讓金額為1元。股權轉讓完成後公司將不再直接持有左師傅公司股權，左師傅公司將不再納入公司合併報表範圍。
為推動公司全資子公司—重慶宗申發動機製造有限公司(“宗申發動機公司”)和重慶宗申通用動力機械有限公司(“宗申通機公司”)供應鏈管理體系的技術升級，宗申發動機公司和宗申通機公司擬以自有資金按照每股1元的價格分別向物必達公司增資400萬元人民幣，合計增資總額800萬元人民幣。增資完成後，宗申發動機公司和宗申通機公司將分別持有物必達公司6%股權。
根據公司戰略發展規劃，此次公司向物必達公司轉讓左師傅公司100%股權後，有利於優化公司的資源配置及資產結構，降低公司的管理成本。此次交易成交價格公允，符合公開、公平、公正的原則，不會損害上市公司及中小投資者利益。此次股權轉讓完成後，左師傅公司將不再納入公司合併報表範圍。此次交易不會對公司2019年和2020年經營業績產生重大影響。
物必達公司是宗申產業集團有限公司打造的產業互聯網數字零售賦能服務平台，主要為傳統制造企業全產業鏈提供數字化轉型升級一體化服務。物必達公司擬通過整合摩配產業鏈生產製造商、供應商、經銷渠道商和終端用户資源，利用區塊鏈、大數據等新興技術，為企業提供數字採購、精準營銷、數據共享(區塊鏈+數據)、信用體系等升級解決方案。
此次公司全資子公司宗申發動機公司和宗申通機公司投資參股物必達公司，擬利用其互聯網技術和資源儲備，重點針對公司摩托車發動機和通用機械兩大傳統制造業務的供應鏈環節，逐步導入區塊鏈應用技術，促進公司供應鏈管理體系的升級，提升協同效率和決策效率，降低運營成本和提升公司核心競爭力。
