中芯國際(00981.HK)：斥9900萬元增資北方集成電路技術創新中心
格隆匯12月23日丨中芯國際(00981.HK)公佈，於2019年12月23日，合資公司北方集成電路技術創新中心(北京)有限公司、公司全資附屬中芯控股、亦莊國投及中芯北方(公司擁有51%權益)訂立合資協議。
根據協議，中芯控股同意，對合資公司註冊資本進行現金出資人民幣9900萬元，約佔合資公司經擴大註冊資本66%；亦莊國投亦同意，對合資公司註冊資本進行現金出資人民幣5000萬元，約佔合資公司經擴大註冊資本33.33%；及中芯北方同意，中芯控股及亦莊國投將對合資公司註冊資本進行的注資事項。
各方履行注資事項義務後，合資公司的註冊資本將由人民幣100萬元增至人民幣1.50億元。合資公司將應用現金出資作產業鏈建設、技術創新及營運資金之用。合資公司董事會將由三位董事組成，兩位由中芯控股委任，一位由亦莊國投委任。董事長由中芯控股委任，副董事長由亦莊國投委任。
於公告日期，中芯北方由集團擁有約51%，合資公司由中芯北方100%擁有。根據合資協議，合資公司將由中芯控股擁有約66%，亦莊國投擁有約33.33%，中芯北方擁有約0.67%。根據合資協議完成注資事項後，合資公司將仍為公司附屬公司。
據悉，合資公司在集團引領下，利用北京的地區產業基地，聯繫產業鏈的上下游企業，形成產業鏈合作平台。合資公司以北京作為本地化基地，構建集團集成電路產業生態圈，藉以提升集團生產線效益，降低生產線的建造與營運成本。
公告稱，公司在北京的工廠，目前是中國內地產能最大的12英寸晶圓代工廠，對於深化與產業鏈企業的合作，存在很大需求。合資公司能夠在擴大供應鏈渠道和提升供應鏈綜合能力等方面支持集團未來更好的發展。注資事項將有助於合資公司與產業鏈企業從事相關業務，構建以北京為中心的集成電路產業生態圈，提升集團生產線效率，降低生產線的建造與運營成本。
