同方股份(600100.SH)存在2018年度業績預告不準確、業績預告更正公告不及時情況 收到北京證監局警示函
格隆匯12月23日丨同方股份(600100.SH)公佈，公司於2019年12月23日收到中國證券監督管理委員會北京監管局行政監管措施決定書《關於對同方股份有限公司採取出具警示函措施的決定》([2019]158號)。
“同方股份有限公司：
你公司2019年1月31日披露2018年度預虧公告，4月25日發佈業績預告更正公告，4月26日發佈2018年年度報告。你公司在披露業績預虧公告時，未對商譽及無形資產減值、存貨跌價準備、可供出售金融資產減值、長期股權投資損益確認進行充分的會計估計，導致預計數據與之後披露的更正公告、年度報告中的業績數據存在重大差異。你公司存在2018年度業績預告不準確、業績預告更正公告不及時情況。
上述情形違反了《上市公司信息披露管理辦法》（證監會令第40號，以下簡稱《管理辦法》）第二條、第二十五條的相關規定。根據《管理辦法》第五十九條規定，現對你公司予以警示，將相關違規行為記入誠信檔案。提醒你公司應當加強信息披露管理工作，夯實財務核算基礎，保證信息披露的真實、準確、及時。請你公司在收到此通知書之日起十個工作日內，向我局提交書面整改報告。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司對上述監督管理措施高度重視，將加強公司董事、監事、高級管理人員及相關人員對《上市公司信息披露管理辦法》等相關法律、法規的學習，進一步提升規範運作意識，提高對相關法律、法規的理解和執行力度，同時加強公司內部控制管理，切實提高公司的信息披露質量，嚴格按照《中華人民共和國證券法》、《上市公司信息披露管理辦法》、《上海證券交易所股票上市規則》等法律法規以及中國證券監督管理委員會、上海證券交易所的相關要求履行信息披露義務，保證信息披露的真實、準確、完整、及時、公平，維護上市公司股東的合法權益，促進公司的健康、穩定和可持續發展。
