康宁杰瑞制药-B(09966.HK)携手Tracon及思路迪开发并商业化KN035
格隆汇12月20日丨康宁杰瑞制药-B(09966.HK)公告，公司的全资附属公司江苏康宁杰瑞生物制药有限公司、TRACON Pharmaceuticals,Inc.(Tracon，其股份于纳斯达克全球精选市场上市，股份代号：TCON)及思路迪(北京)医药科技有限公司于2019年12月20日订立一份合作伙伴关系协议。
据此，Tracon获授KN035(由集团内部发明的一种抗PD-L1单域抗体)于美国、加拿大、墨西哥及其各自属地在人类肉瘤治疗方法领域上的独家及不可转让许可，惟须受限于该协议的条款及条件。
根据该协议，Tracon负责(其中包括)自费于合作地区内在该领域开发KN035并将其商业化，而思路迪及江苏康宁杰瑞则有权收取Tracon按占KN035的相关销售净额十数至中双位数百分比的金额支付的特许权使用费。此特许权使用费将根据思路迪及江苏康宁杰瑞共同协定的比例在两者间分配。江苏康宁杰瑞将向Tracon供应KN035以供其进行临床试验及按事先协定的价格予以商业化。
Tracon是一家临床阶段生物制药公司，专注于新型靶向癌症疗法的开发及商业化。思路迪是一家临床阶段生物制药公司，专注于为癌症患者开发差异化的新一代肿瘤免疫药物。据本公司所知及所信，Tracon及思路迪均独立于本公司及其关连人士(定义见上市规则)且与彼等概无关连。该协议项下拟进行的交易并不构成上市规则项下本公司的任何须予公布交易或关连交易。
KN035可能是全球第一种可皮下注射的PD-L1抑制剂，具有安全性、便利性、顺应性、适用于不适合静脉输液的患者等优点。KN035由本集团发明并与思路迪联合开发，目前正在中国进行错配修复功能缺陷(dMMR)╱高微卫星不稳定性(MSI-H)实体瘤的II期临床试验及胆道癌(BTC)的III期关键性试验。
