九興控股(01836.HK)續期新CAH獨家分銷協議
格隆匯12月20日丨九興控股(01836.HK)發佈公告，監於前CAH獨家分銷協議將於2019年12月31日屆滿，2019年12月20日，興記中國(作為供應商)與CAH(作為分銷商)按大致相同的條款訂立新CAH獨家分銷協議，以續期前CAH獨家分銷協議，為期三年，直至2022年12月31日止。預期於截至2020年12月31日止年度、截至2021年12月31日止年度及截至2022年12月31日止年度，興記中國可就根據新CAH獨家分銷協議供應Stella品牌產品向CAH集團收取的代價總金額將分別不超過人民幣2.5億元、2.8億元及3.3億元。
公告表示，麥斯集團主要從事設計、開發及製造優質設計師女裝鞋履以及於中國為包括Ash等品牌營運線上零售店。麥斯集團在集團於2017年7月出售其零售業務之前曾為集團於中國零售業務提供日常管理及監控服務，包括零售店、銷售點及分銷渠道的日常營運及管理，以及集團自有品牌及特許品牌市場策略。於重組CAH集團及出售CAH 60%已發行股本(出售實際導致向麥斯集團轉讓集團於中國零售業務)後，興記中國與CAH訂立前CAH獨家分銷協議及委任CAH集團為Stella品牌產品於中國零售市場獨家分銷商。簽訂前CAH獨家分銷協議可確保在中國零售市場不間斷供應Stella品牌產品並令集團利用麥斯集團作為中國領先鞋履零售營運商承諾及本地市場經驗及專業知識。
此外，前CAH獨家分銷協議於2019年12月31日到期。集團及麥斯集團均有意建立友好業務關係並透過先前業務交易取得相互理解及信任，及根據新協議拓展業務合作。經計及CAH集團於前CAH獨家分銷協議期間交易金額的增長及CAH集團展現為分銷商能力，董事認為，繼續授予CAH集團在中國零售市場獨家分銷Stella品牌產品權利，以避免對現有的有效分銷渠道造成任何干擾及擔保在市場上持續穩定供應Stella品牌產品，此乃符合集團利益。
