紫光國微(002049.SZ)子公司擬與關聯方共設控股公司 進一步拓展芯片設計業務和市場領域
格隆匯12月18日丨紫光國微(002049.SZ)公佈，公司全資子公司紫光同芯微電子有限公司(“同芯微電子”)在安全芯片領域的多年積累和在以無線充電為核心的電源管理類芯片方面的技術儲備，為拓展新的業務領域，完善公司產業佈局，同芯微電子擬與紫光集團全資子公司西藏紫光新才信息技術有限公司(“紫光新才”)共同投資設立北京紫光安芯科技有限公司(暫定名)和北京紫光芯能科技有限公司(暫定名)。同時，為加強公司與核心員工凝聚力，實現員工與公司共擔風險、共同成長的目的，公司員工投資設立的有限合夥企業擬參與上述兩家公司的出資。
北京紫光安芯科技有限公司(暫定名)擬開展智能鎖模組及智能鎖產品業務，由同芯微電子與紫光新才及員工投資設立的三家有限合夥企業：北京聯晶企業管理合夥企業(有限合夥)、北京銘居企業管理合夥企業(有限合夥)、北京芯加企業管理合夥企業(有限合夥)共同投資設立，註冊資本為人民幣4500萬元，同芯微電子以自有資金出資人民幣1575萬元，佔其註冊資本的35%。公司成立後，為同芯微電子控股子公司，納入公司合併報表範圍。
北京紫光芯能科技有限公司（暫定名）擬開展電源管理芯片及相關模組產品業務，由同芯微電子與紫光新才及員工投資設立的三家有限合夥企業：北京芯卓企業管理合夥企業（有限合夥）、北京芯成企業管理合夥企業（有限合夥）、北京芯暉企業管理合夥企業（有限合夥）共同投資設立，註冊資本為人民幣 4500萬元，同芯微電子以自有資金出資人民幣1575萬元，佔其註冊資本的35%。公司成立後，為同芯微電子控股子公司，納入公司合併報表範圍。
2019年3月，經公司董事長審批，同芯微電子以自有資金出資1575萬元與紫光新才和北京智創企業管理合夥企業(有限合夥)、北京芯贏企業管理合夥企業(有限合夥)、北京物創企業管理合夥企業(有限合夥)共同投資設立了控股子公司北京紫光青藤微系統有限公司(“青藤微”)，該事項為在董事長審批權限範圍內的關聯交易事項。
此次投資是基於智能物聯網的未來發展趨勢及電源管理類芯片日益增長的市場需求，可進一步拓展公司芯片設計業務和市場領域，完善公司產業佈局，符合公司發展戰略。此次交易的資金來源為公司自有資金，不會對公司財務及經營狀況產生不利影響，不存在損害公司及全體股東利益的情形。
新的子公司成立後，可能存在經營管理、資源配置、人力資源整合等風險，公司將不斷完善內部控制體系、加強風險防範運行機制，依託前期積累的管理經驗，加強管理運營的監督與控制，提高管理能力和經營效率，積極防範和應對上述風險。
