福田汽車(600166.SH)附屬1500萬元參立福田PMI電動客車印度公司
格隆匯12月18日丨福田汽車(600166.SH)公佈，於2019年12月18日，公司董事會會議審議通過了《關於福田印度設立福田PMI電動客車印度有限公司的議案》，同意福田汽車印度製造有限公司(簡稱"福田印度")參股設立福田PMI電動客車印度有限公司，投資總額5億盧比(約5000萬元人民幣)，福田印度持股30%，出資金額1.5億盧比(約1500萬元人民幣), 計劃分三期出資，由經理層視情況決定出資時間。
公司全資子公司福田汽車印度製造有限公司(以下簡稱"福田印度")與PMI Coaches Private Limited ( 以下簡稱"PCPL")公司下屬控股子公司PMI Electro Mobility Solutions Private Limited (以下簡稱"PEMS")共同以現金出資，成立福田PMI電動客車印度有限公司(以下簡稱"合資公司")。福田印度按股比(30%)出資金額1.5億盧比(約1500萬元人民幣)，公司計劃分三期出資，由經理層視項目進展情況決定出資時間。資金來源為福田印度的自有資金。合資公司將主要作為公司在印度境內新能源客車的總代理，進口、生產和銷售福田新能源客車產品。
合作方基本情況：PCPL主營業務為客車車身生產，年產能4500台，是印度北方最大的車身製造商；PEMS是PCPL控股子公司(PCPL持有其69.79%股權)，於2017年成立，主要經營福田電動客車的生產和銷售，目前合作方電動客車整車產能不足，有擴充產能的需求。
投資標的基本情況：公司名稱：福田PMI電動客車印度有限公司(暫定名)；註冊地址：印度德里；註冊資本：5億盧比(約5000萬元人民幣)，計劃分三期出資，由經理層視情況決定出資時間，初期註冊資本1億盧比(約1000萬元人民幣)。股權結構：福田印度持股30%，PEMS 持股70%；董事會構成：由5名董事組成，其中福田2名，PEMS 3名。
公告稱，該項目是福田汽車開拓印度電動客車市場的重要契機；通過合資項目實施，利用印度政府鼓勵發展電動客車的產業機會，有利於實現福田汽車印度產業化發展；公司在當地具備市場與產品基礎，通過該項目藉助合作方熟悉當地政策及銷售渠道的優勢，可使公司迅速滿足當地政策要求，快速打開當地市場；另外通過合資工廠運營，可獲取海外產業化運營經驗，培養全球化產業運營人才；該項目符合公司的長遠利益。
