科融環境(300152.SZ)：決定終止原關於新疆君創能源設備有限公司股權轉讓協議
格隆匯12月15日丨科融環境(300152.SZ)公佈，2016年6月24日，公司第三屆董事會第十三次會議審議通過了《關於出售新疆君創能源設備有限公司股權的議案》，將所持的新疆君創能源設備有限公司(“新疆君創”)100%股權轉讓給天津豐利創新投資有限公司(“天津豐利”)。同日，科融環境控股股東徐州豐利科技發展投資有限公司(“徐州豐利”)、新疆君創與科融環境簽訂《資金償還暨擔保協議》，新疆君創承諾於2016年12月31日前向科融環境返還其佔用的資金6986.2萬元並支付資金利息，徐州豐利對上述債權提供連帶責任保證。
2018年4月22日，天津豐利向天津宏泉熱力有限公司(“宏泉熱力”)轉讓其持有的新疆君創100%的股權並在《股權轉讓協議》中約定由宏泉熱力償還新疆君創與科融環境之間的往來借款(具體金額以簽署日經審計後資產負債表的長期債務金額為準)。宏泉熱力承諾於2018年12月31日前償還上述欠款，新疆君創和徐州豐利對此承擔擔保責任。
新疆君創、宏泉熱力、徐州豐利與科融環境簽署《資金償還暨擔保四方協議》約定：(1)科融環境同意債務人變更，由宏泉熱力償還新疆君創與科融環境之間的往來借款(具體金額以簽署日經審計後資產負債表的長期債務金額為準)；(2)新疆君創對往來借款承擔連帶清償責任；(3)徐州豐利同意主合同債務人由新疆君創變更為宏泉熱力，繼續履行《資金償還暨擔保協議》及其《補充協議》，承擔擔保責任。
宏泉熱力未履行條款承諾，經友好協商，宏泉熱力、天津豐利雙方決定終止原《關於新疆君創能源設備有限公司股權轉讓協議》。鑑於天津豐利與宏泉熱力簽署的《關於新疆君創能源設備有限公司股權轉讓協議》已經終止，導致原合同無法繼續履行，經宏泉熱力、徐州豐利、新疆君創與科融環境等四方經友好協商，於2019年12月13日簽署了《合同終止協議》，原《資金償還暨擔保四方協議》各方的權利義務予以終止。
