萬潤科技(002654.SZ)：完成轉讓惠州市日上光電100%股權
格隆匯12月13日丨萬潤科技(002654.SZ)公佈，2019年1月28日，公司召開第四屆董事會第十七次會議，審議通過《關於轉讓惠州市日上光電有限公司100%股權的議案》，同意公司全資子公司深圳日上光電有限公司(“日上光電”)與深圳美華美木業有限公司(“美華美”)、惠州市日上光電有限公司(“惠州日上”)簽署《關於惠州市日上光電有限公司100%股權之轉讓協議》，將日上光電所持有的惠州日上100%股權轉讓給美華美，交易價格為人民幣7650萬元(具體包括評估基準日惠州日上的所有資產、負債等債權債務)。
按照股權轉讓協議約定，美華美已完成支付意向金和誠意金合計人民幣5000萬元，並將除意向金和誠意金外的共管資金11,850萬元以現金方式支付至以日上光電名義設立的資金監管賬户。截止2019年5月17日，惠州日上應付北京銀行股份有限公司深圳分行8,000萬元借款及當期利息和惠州日上應付日上光電及其關聯公司的往來款餘額及其利息已償還完畢，萬潤科技為惠州日上向北京銀行股份有限公司深圳分行8000萬元借款合同的連帶責任保證擔保已經解除。2019年5月23日，惠州日上已完成股權轉讓工商變更登記手續。
2019年11月，日上光電同美華美及惠州日上籤訂了《惠州市日上光電有限公司股權轉讓之過渡期經營性損益確認函》，三方友好協商，共同確認惠州日上過渡期產生的應由日上光電享有和承擔的經營性損益為-214.78萬元。
根據《股權轉讓協議》第3條約定，在實際履約過程中，此次股權轉讓的交易價格因美華美支付共管資金時間的變化而調整為7850萬元。因美華美前期已支付5000萬元，其尚需向日上光電支付剩餘股權轉讓對價款2850萬元，扣除日上光電應向美華美支付的過渡期經營性損益214.78萬元，則美華美仍需支付2635.22萬元。2019年11月18日，日上光電收到從資金監管賬户支付的扣除過渡期經營性損益的剩餘對價款2635.22萬元；同日，將資金監管賬户餘額293.82萬元退還至美華美。
2019年12月2日，經日上光電、美華美雙方同意，將資金監管賬户存續期間產生的利息收入46142.48元支付給美華美，同時解除資金監管賬户。
截止2019年12月12日，日上光電與美華美已完成惠州日上全部證照原件、印章及合同文件等的解除共管手續及相關移交工作。
至此，惠州日上股權轉讓事項已完成。
