堅瑞沃能(300116.SZ)孫公司名下資產被司法拍賣
格隆匯12月12日丨堅瑞沃能(300116.SZ)公佈，近日，公司收到湖南省郴州市中級人民法院《執行裁定書》，具體內容如下：
本院在執行深圳市聚興新能源科技有限公司申請執行郴州市沃特瑪電池有限公司、深圳市沃特瑪電池有限公司、李瑤金融借款合同糾紛一案，於2019年11月18日在淘寶網公開拍賣被執行人郴州市沃特瑪電池有限公司、深圳市沃特瑪電池有限公司的機器設備、產成品、原材料和在庫週轉材料，評估價值共計約4544.8萬元。買受人深圳市聚興新能源科技有限公司以最高價約4544.8萬元競得。
本院經審查認為，深圳市中級人民法院雖已裁定受理深圳市沃特瑪電池有限公司的破產審查，但本院拍賣在先，收悉深圳市中級人民法院(2019)粵03破申410號民事裁定書後，本院的拍賣行為有效。因本次拍賣將深圳市沃特瑪電池有限公司和郴州市沃特瑪電池有限公司的資產整體打包拍賣，且未作出拍賣裁定及交付，財產的所有權未發生轉移，故本次拍賣中涉及到深圳市沃特瑪電池有限公司所有的資產，本院不予處置。
綜上所述，依照《中華人民共和國民事訴訟法》第二百四十七條、《最高人民法院關於人民法院民事執行中拍賣、變賣財產的規定》第二十三條、第二十九條的規定，裁定如下：
郴州市沃特瑪電池有限公司所有的電池等資產(價值共計約3827.76萬元)的所有權及其他權益歸買受人深圳市聚興新能源科技有限公司所有。郴州市沃特瑪電池有限公司所有的電池等資產的所有權自交付時起轉移給買受人深圳市聚興新能源科技有限公司。
深圳市沃特瑪電池有限公司(“深圳沃特瑪”)已於2019年11月7日進入破產清算程序，根據《中華人民共和國企業破產法》的規定，深圳中院將指定深圳沃特瑪破產管理人，並由法院指定的破產管理人接管深圳沃特瑪。根據企業會計準則相關規定及公司徵詢年審會計師的意見，在深圳中院作出指定管理人決定書，管理人進入深圳沃特瑪現場接管各項印章、接管各項資產和業務的管理權後的次日為深圳沃特瑪的出表時點。屆時：(1)合併資產負債表只合並深圳沃特瑪期初餘額，因處置日(管理人接管日)已失去對其控制，深圳沃特瑪期末餘額不再納入合併資產負債表的期末餘額。(2)因2019年1月至處置日在堅瑞沃能的控制下，因此合併利潤表和合並現金流量表應將深圳沃特瑪2019年1月至處置日的損益和現金流量納入合併範圍。(3)對於深圳沃特瑪處置日之前的超額虧損將通過投資收益計入當期合併利潤表。因郴州市沃特瑪電池有限公司(“郴州沃特瑪”)為深圳沃特瑪子公司，而深圳沃特瑪已進入破產清算程序，在深圳沃特瑪出表後，郴州沃特瑪資產被拍賣事項對上市公司2019年度損益的影響根據企業會計準則等相關規定將會通過投資收益轉回。
此次拍賣成交後，郴州沃特瑪將不再擁有標的資產的所有權。
