*ST猛獅(002684.SZ)：與債務人同城優服簽署抵債及還款協議
格隆匯12月11日丨*ST猛獅(002684.SZ)公佈，公司全資子公司汕頭市猛獅新能源車輛技術有限公司(“汕頭猛獅新能源”)於2016年、2017年共向廣東同城優服新能源有限公司、福州同城優服新能源有限公司、深圳同城優服新能源有限公司、同城優服新能源襄陽有限公司、廣東同城優服新能源有限公司廈門分公司、廣東同城優服新能源有限公司廣州分公司(以下合稱“同城優服”)銷售2025輛新能源汽車，購車款採用分期付款的方式。現因同城優服經營狀況不佳，無法按期支付購車款，截至目前，同城優服尚未支付給汕頭猛獅新能源的購車款共計19054.54萬元。
經協商，同城優服以向汕頭猛獅新能源購買的2019輛新能源汽車抵償債務12663.01元。同時，汕頭猛獅新能源與同城優服簽署的《抵債及還款協議》約定，同城優服以地方補貼、電池費用補貼、車企運營賠償、“同城優服·新能源汽車租賃運營平台”專有技術資產組(“新能源汽車租賃運營平台”)等合計抵償約3396.92萬元債務，剩餘未抵償債務2994.61萬元將以分期方式於2023年6月前還清。
由於同城優服的回款狀況不及預期，公司擬接受同城優服以資產抵償應向汕頭猛獅新能源支付的購車款，此次同城優服抵債車輛評估價值約1.30億元，新能源汽車租賃運營平台評估價值為2020萬元，汕頭猛獅新能源通過此次抵債收到資產價值合計約1.51億元，收回債權約1.4683億元；同城優服以地方補貼、電池費用補貼、車企運營賠償抵償債務約3396.92萬元，預計收回債權約3396.92萬元；剩餘債務將以分期付款方式於2023年6月前付清。同時，汕頭猛獅新能源通過接收該批車輛資產並通過新能源汽車租賃運營平台進行租賃運營，將會為公司創造新的盈利增長點及現金流入。
此次交易將有效降低公司債權回收風險，減少公司壞賬規模，盤活公司資產。此次交易後，公司應收賬款將減少，固定資產將增加，通過將該批車輛資產租賃運營，可以為公司貢獻持續收入，為公司創造新的盈利增長點和穩定的現金流入，有利於改善公司的資產和財務狀況，符合公司長期發展戰略和全體股東的利益。
