安彩高科(600207.SH)與安彩太陽能簽署新的動力供應及綜合服務關聯交易協議
格隆匯12月10日丨安彩高科(600207.SH)公佈，2017年11月，公司與安彩太陽能簽署了《動力供應及綜合服務關聯交易協議》，該協議將於2019年12月31日到期。公司在玻璃領域擁有較強的技術水平和服務能力，安彩太陽能後續需維持其穩定運營，保持生產線的生產能力，經雙方友好協商，簽署了新的《動力供應及綜合服務關聯交易協議》，合同期限自2020年1月1日至2021年12月31日。
截止2019年11月30日，公司與河南安彩太陽能玻璃有限責任公司(“安彩太陽能”)關聯交易的實際發生額為1.4255億元,公司與安彩太陽能簽署動力供應和綜合服務關聯交易協議尚需提交公司股東大會審議。
此次關聯交易項目包括：1.安彩高科向安彩太陽能提供能源動力、生產支持和其他綜合服務；2.安彩太陽能向安彩高科提供餘熱發電用蒸汽。
雙方一致同意，此次簽署的《動力供應及綜合服務關聯交易協議》之關聯交易，應遵照公平合理、等價有償、誠實信用的市場交易原則，不得損害交易任何一方、特別是安彩高科非關聯股東的利益。
雙方一致同意，該協議項下任何一方向另一方提供的產品、服務，均為企業間經濟交往中的有償交易，提供產品、服務的一方有權依照市場交易原則對其所提供的產品、服務收取合理對價，接受產品、服務的一方亦應履行相應的支付義務。
《動力供應及綜合服務關聯交易協議》有效期自2020年1月1日起算至2021年12月31日止。任何一方均有權在該協議期限屆滿不少於30日前，以書面形式向對方提出延長該協議期限的請求。如雙方就該協議期限的延長達成書面協議，該協議其他條款繼續有效。
安彩太陽能浮法玻璃生產線本身需要連續生產，需要儘量維持其運營環境，從而保持相關生產線的生產能力及穩定性，安彩太陽能需要公司為其提供穩定的能源動力。同時，公司在玻璃領域擁有較強的技術水平和服務能力，可為安彩太陽能提供生產經營所必需的服務。公司與關聯方之間的交易均遵循公允的定價和條件，不會造成對公司利益的損害。公司與關聯方之間的關聯交易有助於雙方相互合作、互惠互利。
