冀中能源(000937.SZ)擬向華北醫療增資3.15億元
格隆匯12月9日丨冀中能源(000937.SZ)公佈，華北醫療註冊資本2億元，是冀中能源集團的控股子公司，冀中能源集團持有其40%的股份，冀中能源集團之全資子公司華藥集團持有其60%的股份。根據《河北省人民政府關於印發河北省加快剝離國有企業辦社會職能和解決歷史遺留問題工作方案的通知》(冀政字[2016]16號)的要求，同時為了增強醫療健康產業發展後勁，發揮集團公司的產業發展引領作用，公司擬與冀中能源集團、華藥集團、峯峯集團、邢礦集團及井礦集團共同對華北醫療進行增資並簽署增資協議。其中：公司擬向華北醫療增資約3.15億元，其中現金增資5000萬元，以經評估的相關醫療資產增資約2.65億元；冀中能源集團以現金增資約4.23億元；華藥集團以持有的石家莊華健醫院管理有限公司的全部股權增資7109萬元；峯峯集團以持有的邯鄲市峯峯礦區華健醫院管理有限公司的全部股權約3.22億元和現金4000萬元，合計增資約3.62億元；邢礦集團以持有的邢台市華睿醫院管理有限公司的全部股權8543萬元增資；井陘集團以持有的石家莊井礦醫院管理有限公司的全部股權9156萬元增資。
增資完成後，華北醫療註冊資本將增加至12億元(具體數額以工商行政管理部門核准的為準)，冀中能源集團持股比例為31.97%，華藥集團持股比例為10.75%，峯峯集團持股比例為23.81%，邢礦集團持股比例為6.80%，井礦持股比例為6.01%，公司持有華北醫療20.66%的股權。
華北醫療健康產業集團有限公司經營範圍：醫院管理及諮詢服務(醫療、治療、診療除外)；養老機構管理及諮詢服務；健康管理及諮詢服務(醫療、治療、診療除外)；醫療健康產業投資、投資管理、投資諮詢；企業管理服務等。
此次華北醫療進行增資擴股，是按照河北省國資委的工作部署，以華北醫療集團為主體，重組內部醫療機構，整合省屬監管企業醫療健康產業資源，快速壯大產業規模，提高醫療服務質量。同時，優化內部醫院管理，穩步拓展外部市場，充分利用現有土地、房產等資源，開展康復、養老等產業，打造國內領先的綜合型醫療健康產業集團。
