光峯科技(688007.SH)擬對香港光峯增資以1811.47萬美元收購GDC BVI公司36%股權
格隆匯12月6日丨光峯科技(688007.SH)公佈，公司基於經營戰略發展考慮，為拓寬數字電影放映行業產業佈局、深耕業務發展、拓展海外銷售渠道，擬對全資子公司光峯光電香港有限公司(以下簡稱“香港光峯”)增資1820萬美元(以下簡稱“本次增資”)，其中1811.47萬美元擬由香港光峯用於收購GDC Technology Limited (CaymanIslands)(以下簡稱“GDC開曼公司”)持有的GDC Technology Limited (British Virgin Islands)(以下簡稱“GDC BVI公司”)36%股權，剩餘資金用於支付與本次收購相關的交易費用。本次資金來源系公司自有資金或自籌資金。
GDC BVI公司是一家註冊地在英屬維爾京羣島、總部設在香港的數字影院方案供應商，主要研發、生產、銷售符合美國數字電影放映協會(DCI)標準的數字影院服務器(IMB)及影院管理系統(TMS)。主要合作伙伴是NEC公司、巴可公司、索尼公司、美國科視公司、韓國三星公司等知名影院放映機廠商、院線和影院系統集成商。目前GDC BVI公司在全球數字影院服務器市場佔有率排名前列，通過其位於中國香港、中國大陸、美國、新加坡、印度等地的下屬公司開展實際業務、為全球客户提供服務。
交易各方已於2019年12月6日簽訂了《SHARE PURCHASE AGREEMENT》(《股份轉讓協議》)、《SHARE HOLDERS AGREEMENT》(《股東協議》)等與本次收購相關的協議文件。目標公司36%股權的收購價格為1811.47萬美元，對應其整體估值5031.86萬美元，前述估值已考慮了目標公司在財務報表基準日2019年9月30日以後至標的股權交割日前將向轉讓方GDC開曼公司分紅的3000萬美元(如目標公司2019年未實現承諾業績，GDC開曼公司應以前述分紅款中的500萬美元為限，將未實現利潤的差額部分向目標公司進行補償)。因此，本次收購對應的目標公司整體估值(調整分紅前)8031.86萬美元較其截至2019年9月30日的賬面淨資產增值約50%。
