星星科技(300256.SZ)及匯豐投資共同對江西星星增資
格隆匯12月6日丨星星科技(300256.SZ)公佈，根據公司第三屆董事會第二十次會議及2018年第五次臨時股東大會決議，公司與萍鄉經濟技術開發區管理委員會(“萍鄉經開區管委會”)簽署了《星星科技智能終端科技園項目投資協議》，星星科技智能終端科技園項目投資總額60億元，將打造消費電子視窗防護屏、觸控顯示模組和高精密結構件等“一站式”服務的智能終端電子產業製造基地，實施主體為江西星星科技有限責任公司(“江西星星”)，萍鄉經開區管委會給予項目土地供應、廠房代建、產業發展資金支持、税收獎勵、生產線轉移支持、設備投資支持等多項支持方式
為滿足江西星星的經營發展需要，優化其資產結構，推進實施公司整體發展戰略，公司及江西星星擬與萍鄉經開區管委會下屬控制的萍鄉市匯豐投資有限公司(“匯豐投資”)簽署增資協議。江西星星擬新增註冊資本人民幣約10.255億元，其中匯豐投資對江西星星的5億元的產業資金借款轉作為對其的股權投資，按同等金額認繳新增註冊資本；公司以現金或實物方式出資約5.26億元認繳新增註冊資本。
上述增資完成後，江西星星註冊資本由約20.514億元增加至約30.769億元，其中公司合計出資約15.769億元，持有其51.25%股份；匯豐投資出資15億元，持有其48.75%股份，公司仍對江西星星擁有絕對控制權。
萍鄉經開區管委會系公司的實際控制人，同時亦是匯豐投資的控股股東，根據《深圳證券交易所創業板股票上市規則》第10.1.3條規定的關聯關係情形，匯豐投資為公司的關聯法人。此次公司與匯豐投資共同增資江西星星構成關聯交易。
此次公司及匯豐投資共同對江西星星增資，一方面是萍鄉經開區管委會看好消費電子產業未來發展前景，以股權形式投資江西星星符合江西省宏觀政策要求、符合萍鄉市招商引資政策和當地產業發展方向。另一方面，公司以現金或實物方式(包括但不限於機器、設備、儀器等資產)對江西星星增資，有利於滿足江西星星未來經營發展需要，集中廠區資源、整合產業鏈，降低管理成本、提高生產效率，推進落實星星科技智能終端科技園項目。本次增資完成後，公司仍對江西星星擁有絕對控制權，公司仍將其納入合並報表範圍。此次公司與關聯方共同增資事項不構成重大資產重組，符合公司整體利益，對公司的財務狀況及經營成果無重大不利影響，也不存在損害公司及其他中小股東利益的情況。
