信德集團(00242.HK)擬逾47億元接手華僑城蘇河灣地塊50%權益

格隆匯12月4日丨信德集團(00242.HK)宣佈,上海潼信和上海蘇鑽(各為公司持有80%的合資公司)在收到北交所通知,表示上海潼信和上海蘇鑽分別是華合待售股權和華筵待售股權公開掛牌中的唯一競價方後,於2019年12月4日對華合待售股權和華筵待售股權的公開掛牌提出最後競價,分別是人民幣22.28億元和人民幣24.84億元。

按照公開掛牌的條款,在提出最後競價和取得華潤置地棄權確認後,上海潼信和上海蘇鑽須分別訂立華合股權收購交易和華筵股權收購交易,據此,(i)上海潼信將收購上海華合50%股權;和(ii)上海蘇鑽將收購上海華筵50%股權,兩者代價為各自的最後競價。截至公告發出日,上海華合和上海華筵均由賣方華僑城(000069.SZ)和華潤置地各持50%,主要從事該等地塊的開發業務。

公告稱,上海華合和上海華筵分別擁有華合地塊和華筵地塊的土地使用權。該等地塊均位於中國上海市靜安區蘇河灣,是兩個目前正在開發的相鄰工地;落成後,總建築面積約達32.9萬平方米,包括辦公室、商業和住宅物業。

兩項目公司主要從事的業務是開發中國上海市靜安區蘇河灣的該等地塊。該等地塊位於上海市核心商業區,毗鄰成熟的核心商圈,如南京西路及陸家嘴,短短路程即可到達外灘及人民廣場等主要觀光景點。目前預計該等地塊將主要包括辦公室、商業和住宅部份,直接接駁天潼路地鐵站。按照在該等地塊落成的物業的擬定用途,銷售華合地塊的物業短期可為集團帶來銷售收入,而出租華筵地塊的物業則會長期為集團帶來經常性租金收入。

此外,兩項目公司的另一名股東華潤置地是專注中國市場的領先物業發展商之一。公司相信與華潤置地合作將可帶來協同效應,讓公司保持競爭力,同時提高兩項目公司的財務回報;因此,董事相信股權收購交易是集團的良機,可配合集團的業務增長及策略。
