中文在線(300364.SZ)與鋼鋼網簽訂戰略合作協議
格隆匯12月3日丨中文在線(300364.SZ)公佈，公司於2019年12月3日與鋼鋼網電子商務(上海)股份有限公司(“鋼鋼網”)簽訂了《戰略合作協議》。雙方本着平等、自願、互惠、雙贏的原則，經充分協商，同意建立全面戰略合作伙伴關係，對雙方關於大數據、智慧城市等方面的需求，雙方利用自身的優勢，向對方提供專業、廣泛而有效的業務支持和資本運作服務。協議的主要內容如下：
甲方：中文在線數字出版集團股份有限公司；乙方：鋼鋼網電子商務(上海)股份有限公司
在符合國家法律、法規和政策的前提下，雙方通過自身或促成其控股子公司或雙方推薦的其他第三方機構與對方或其控股子公司在大數據、智慧城市及其他領域開展合作。
(一)大數據
雙方及子公司根據數字出版產業發展、教育信息化變革、知識產權保護升級等方面業務發展面臨的大數據需求，合作設計、實施大數據解決方案，力求將相關大數據解決方案打造成行業標杆。
(二)智慧城市
雙方依託“一帶一路”國家戰略，開展智慧城市相關業務，在有聲書、書香中國、基礎設施、公共服務、城市管理、智慧產業等重點領域開展示範，將書香中國電子書閲讀平台完善升級，打造協同創新的公共服務平台，建立智慧城市評價模型，完善智慧城市技術和產業創新服務體系。
(三)其他業務
甲乙雙方的全面合作包括但不限於以上內容,另可開展文化、教育領域等其他合作。
甲乙任何一方應本着平等、自願、互惠、雙贏的原則，在產品信息、項目信息、渠道建設等方面實現雙方資源共享、優勢互補、共同發展。雙方可根據實際情況，提出新的合作內容，經甲乙雙方共同協商，達成一致，並根據相關法律法規和各自的程序審批後，另行簽署具體合作協議進而合作。
此次合作是公司在推進與國內外知名互聯網信息服務機構，就文化和教育領域相關的大數據解決方案、智慧城市解決方案達成深度戰略合作過程中的重要落子。通過雙方合作，鋼鋼網將依靠其在大數據和智慧城市等領域的優勢，助力中文在線發展文化和教育業務；而中文在線也會憑藉自身在文化和教育領域多年以來積累的內容和渠道優勢及平台影響力，助力鋼鋼網的大數據和智慧城市等業務全面落地。中文在線與鋼鋼網將抓住合作契機，共同開啟優質科技、文化、教育等資源全面普及的新時代。
此次戰略合作符合公司“文學+”、“教育+”業務整體戰略發展方向。通過與鋼鋼網等專業大數據機構合作，設計並實施文化和教育領域的大數據解決方案、有聲書和書香中國電子書閲讀平台等智慧城市解決方案，有利於提升中文在線在教育信息化領域的核心競爭力和可持續發展能力，助力數字出版產業發展、教育信息化變革、知識產權保護升級。此次合作項目週期較長，預計對公司當年經營業績不構成重大影響。
