金太陽(300606.SZ)擬2.16億元收購金太陽精密34%股權 進一步聚焦公司主業
格隆匯12月2日丨金太陽(300606.SZ)公佈，公司計劃以現金出資約2.16億元收購公司控股子公司東莞市金太陽精密技術有限責任公司(“金太陽精密”、“標的公司”)34%的股權，交易完成後公司持有標的公司股權比例將達到85%。公司此次收購與部分交易對方形成關聯交易，但不構成重大資產重組。此次交易尚需股東大會審議批准。
金太陽精密主要從事五軸聯動拋光設備研發及工藝配套服務，應用於3C行業精密結構件，尤其是玻璃、陶瓷、塑膠等新型手機背板材料的精密研磨拋光，與公司現有新型柔性拋光材料業務能形成較強的協同效應。公司此次收購控股子公司少數股東股權，是為了進一步聚焦公司主業，實現公司在3C行業精密研磨拋光領域的延伸，符合公司發展戰略規劃，有利於公司更好地優化整體資源配置。此次交易完成後，公司能有效降低子公司少數股權對淨利潤的攤薄影響，進一步提升整體利潤水平；同時，公司將進一步加強對子公司的控制和管理，推進公司發展戰略、提高決策效率。
此次收購，轉讓方主要股東向城、廣州成瑞承諾，標的公司2019年、2020年、2021年需實現的經審計淨利潤(以扣除非經常性損益後的淨利潤和淨利潤孰低)，分別不低於3000萬元、5300萬元和5600萬元，累計承諾淨利潤不低於1.39億元(淨利潤以累計完成情況為考核標準)。保障了此次收購能夠為公司和股東帶來較好的投資收益。
公司此次收購控股子公司部分少數股東股權行為不會導致公司合併報表範圍發生變更；此次收購股權的資金來源為公司首發募集資金變更款項和其他自有資金，不會對公司的日常生產經營及其他投資帶來不利影響，對公司持續經營能力、財務狀況無不良影響，不存在損害上市公司及股東利益的情形。
綜上，此次收購將進一步增強公司核心競爭力和行業影響力，具有較好的投資回報，為公司產生較好的經濟效益，從而提高股東投資收益。
