華誼嘉信(300071.SZ)擬向仕吉網絡出售浩耶信息科技100%股權
格隆匯12月2日丨華誼嘉信(300071.SZ)公佈，公司為優化治理，強化盈利能力，擬向嘉興仕吉網絡科技有限公司(“仕吉網絡”)出售全資子公司浩耶信息科技(上海)有限公司(“浩耶信息科技”或“標的公司”)100%的股權。根據中聯資產評估集團有限公司出具的《資產評估報告》(中聯評報字[2019]第2027號)，截至2019年9月30日，浩耶信息科技的評估值為4600萬元人民幣，經雙方協商整體交易對價為5000萬元。此次交易仕吉網絡無需向公司支付現金，而以承接公司對浩耶信息科技的5000萬元債務作為對價。此次交易完成後，公司不再將浩耶信息科技納入合併報表範疇，仕吉網絡將承接浩耶信息科技的全部資產與負債。
鑑於公司持有的浩耶信息科技的股權(對應127.2822萬元註冊資本)尚處於質押狀態，此次出售股權分為兩步實施：
1、仕吉網絡擬以每股一元的價格增資浩耶信息科技，公司同意仕吉網絡增資並放棄優先認購權。增資完成後，浩耶信息科技的註冊資本將由127.282萬元增至848.548萬元，仕吉網絡持有浩耶信息科技85.00%的股權，公司的持股比例由100.00%變更為15.00%。
按照此次浩耶信息科技的交易對價5,000萬元及此次仕吉網絡向浩耶增資金額721.266萬元，增資後浩耶信息科技總價值為5721.266萬元人民幣。因此增資時仕吉網絡應付的交易對價為總對價的85%暨4863.0761萬元，其中721.266萬元以增資方式出具，同時將承擔公司對於浩耶信息科技的部分債務，暨4141.81萬元債務作為剩餘對價。
2、增資完成之日，仕吉網絡收購公司持有的浩耶信息科技15.00%股權。若上述股權仍處於質押狀態，則公司將持有的15.00%標的公司股權對應的全部股東權利和義務讓渡給仕吉網絡，同時交易對價中的858.19萬元債務由仕吉網絡承擔。仕吉網絡從完成增資之日起即作為浩耶信息科技持股100.00%的股東，享有股東的一切權利並承擔相應義務。
公司將盡快協商解除浩耶信息科技股權的質押，並將持有的浩耶信息科技15.00%的股權全部過户給仕吉網絡，以完成此次交易。
浩耶信息科技(上海)有限公司經營範圍：計算機軟件、網絡技術的開發、設計,轉讓自研成果,並提供相關的技術諮詢和技術服務；計算機信息系統的調試和維護。【依法須經批准的項目,經相關部門批准後方可開展經營活動】
此次交易將使公司獲得收益，增加2019年公司的淨利潤6,994萬元(暨此次交易對價減少公司債務5,000萬元，剝離浩耶信息科技截至2019年9月30日經審計負資產1,954萬元，無形資產評估增值攤銷衝回40萬)，從而改善公司盈利狀況。
此次交易完成後，公司不再持有浩耶信息科技的股權。此次交易是在審計、評估的基礎上，雙方協商一致的結果，此次交易有利於公司優化資產組合，不會對公司現有業務發展產生重大影響，對公司的獨立性和持續盈利能力不會產生重大影響，不存在損害公司及公司股東利益的情形，符合公司戰略發展的需要。
