偉明環保(603568.SH)：擬斥不超2.1億元投建成套環保裝備製造產業基地一期項目並對偉明設備進行增資
格隆匯11月29日丨偉明環保(603568.SH)公佈，公司於2019年11月29日上午召開第五屆董事會第二十七次會議，經董事認真審議，審議通過《關於投資偉明環保設備有限公司成套環保裝備製造產業基地一期項目的議案》，同意公司投資、建設“成套環保裝備製造產業基地一期項目”，批准以自有資金不超過2.1億元投資於項目，同意由偉明設備作為項目的實施主體，並根據項目實施進度和資金需求以貨幣方式適時對偉明設備進行增資，最終註冊資本不超過2.6億元；授權管理層根據項目建設進度在出資額度內分期出資，自有資金投入與投資總額差額部分通過偉明設備向商業銀行申請貸款等借款方式解決，並簽署後續融資協議；授權管理層與政府部門簽署後續法律文件。
項目情況：根據政府部門規劃和公司發展需要，公司有意向投資建設“偉明高端環保產業園項目”，該項目長期規劃總投資額約20億元，項目位於龍灣區永中街道度山村和龍灣城市中心區，總用地面積約260-360畝(以實際出讓取得用地面積為準)，最終建成具備固廢清潔處置服務、環保裝備研發製造、環保工程技術服務、新能源環衞服務、危廢資源化技術研發與服務、工業旅遊會展服務、人才培訓教育、人才公寓及辦公、技術研發一體化的高端環保產業園。“偉明高端環保產業園項目”將在充分評估論證的基礎上分步決策實施，最終實施進度、總投資額存在不確定性。此次由偉明設備在該區域先行啟動實施“成套環保裝備製造產業基地一期項目”，計劃投資建設包括生產作業區、綜合辦公區、生活配套區等多種功能製造產業基地。用地面積約110畝，項目總建築面積60,815平方米。偉明設備將以分期出讓方式取得項目用地使用權，目前已取得42.87畝建設用地使用權出讓成交確認書。一期項目初步估算總投資約4.43億元，建設工期約20個月。公司以自有資金不超過2.1億元投資於一期項目。
根據項目實施進度和資金需求公司以貨幣方式適時對子公司偉明設備進行增資，最終註冊資本不超過2.6億元。偉明設備成立於2007年6月25日，目前註冊資本5008萬元。偉明設備經核准的經營範圍為環保設備的研發、製造、銷售、安裝及維護、售後和技術服務，垃圾、煙氣、灰渣、滲瀝液處理技術的研究、諮詢服務，環保工程施工，環保設備自動化控制軟硬件、信息管理軟硬件的研發、生產、銷售、安裝及維護、售後和技術服務，貨物進出口、技術進出口，低壓成套開關設備的設計、生產和銷售。
此次對外投資符合公司業務發展規劃，有助於提升公司成套環保裝備的生產製造能力，促進公司環保技術的發展，將對公司環保裝備對外銷售帶來積極影響，提高公司未來營業收入。本項目對公司2019年度經營業績不會產生重大影響，但項目的實施對公司未來業務發展及經營業績提升產生積極影響。
