海亮股份(002203.SZ)擬使用募集資金向4家子公司增資 推進募投項目順利實施
格隆匯11月28日丨海亮股份(002203.SZ)公佈，2019年11月28日，公司召開第七屆董事會第四次會議，審議通過了《關於使用募集資金向子公司增資的議案》。為推進公司募集資金投資項目“擴建年產5萬噸高效節能環保精密銅管信息化生產線項目”、“有色金屬材料深(精)加工項目(一期)”、“年產6萬噸空調製冷管智能化生產線項目”和“年產3萬噸高效節能環保精密銅管智能製造項目”的順利實施，公司擬使用募集資金以增資方式向全資子公司上海海亮銅業有限公司(“上海海亮”)、重慶海亮銅業有限公司(“重慶海亮”)、海亮銅業得克薩斯有限公司(“得州海亮”)和海亮奧托銅管(泰國)有限公司(“泰國海亮”)增資，用於募集資金投資項目的實施和建設。此次增資的增資金額、出資方式和資金來源情況如下：
(一)上海海亮
上海海亮註冊資本為4630萬美元。公司擬出資2.35億元人民幣(實際美元註冊資本增加數以增資當日匯率為準)增加其註冊資本，出資方式為貨幣資金，資金來源為此次公開發行可轉換公司債券的募集資金。
(二)重慶海亮
重慶海亮註冊資本為1億元人民幣。公司擬出資2.1億元人民幣增加其註冊資本，增資完成後，重慶海亮註冊資本將增至3.1億元人民幣，出資方式為貨幣資金，資金來源為此次公開發行可轉換公司債券的募集資金。
(三)得州海亮
得州海亮註冊資本為100萬美元。海亮股份通過香港海亮控股有限公司最終增資至得州海亮。此次增資金額為11.5億元人民幣(實際美元註冊資本增加數以增資當日匯率為準)，出資方式為貨幣資金，資金來源為此次公開發行可轉換公司債券的募集資金。
(四)泰國海亮
泰國海亮註冊資本為5億泰銖。海亮股份通過對泰國海亮的母公司香港海亮銅貿易有限公司增資後，由香港海亮銅貿易有限公司對泰國海亮進行增資。此次增資金額為2.1013億元人民幣(實際泰銖註冊資本增加數以增資當日匯率為準)，出資方式為貨幣資金，資金來源為此次公開發行可轉換公司債券的募集資金。
此次增資系公司對全資子公司增資，目的為實施募投項目，有利於保障募投項目的順利實施。此次增資是基於公司募集資金使用計劃實施的具體需要，未改變募集資金的投資方向和項目建設內容，也不會對項目的實施造成實質性影響。此次增資完成後，全資子公司的資金實力和經營能力將得到進一步提高，有助於全資子公司的經營發展和長遠規劃。此次增資的資金來源為公司公開發行可轉換債券的募集資金，不會對公司現有財務結構及經營狀況產生不利影響，不存在損害公司及全體股東利益的情況。
