中材節能(603126.SH)擬轉讓新疆五個餘熱發電BOOT項目資產
格隆匯11月27日丨中材節能(603126.SH)公佈，公司全資子公司庫車中材節能餘熱發電有限公司、富藴中材節能餘熱發電有限公司、克州中材節能餘熱發電有限公司、若羌中材節能餘熱發電有限公司、吐魯番中材節能餘熱發電有限公司(以下簡稱“吐魯番節能”)擬將水泥熟料生產線餘熱發電BOOT項目(以下簡稱“新疆五個BOOT項目”)資產轉讓給新疆天山本次交易的標的為公司投資建設的庫車、富藴、克州、若羌、吐魯番五個BOOT項目相關餘熱發電資產水泥股份有限公司所屬庫車天山水泥有限責任公司、富藴天山水泥有限責任公司、克州天山水泥有限責任公司、若羌天山水泥有限責任公司、吐魯番天山水泥有限責任公司。
為方便上述五個項目投資、建設及運營，公司分別在各項目所在地設立了庫車節能、富藴節能、克州節能、若羌節能、吐魯番節能五個全資項目運營子公司。庫車項目建設完畢且已併網發電，富藴項目建設完畢但仍為在建工程並正在辦理併網手續。克州、若羌、吐魯番三個項目因新疆區域水泥產能嚴重過剩、市場供求情況惡化、競爭加劇等原因導致水泥熟料生產線運轉率持續處於較低水平，仍在建設中為在建工程。
公司的新疆五個項目運營子公司因一直處於微利或虧損狀態，結合瘦身健體、提質增效工作，天山股份近年來經營狀況逐漸好轉、資金壓力得到緩解，餘熱電站與水泥生產線互相依附以及與水泥生產線的一體化運營等因素，公司與天山股份同意提前解除五個項目的《投資合同》及《合作約定書》,由公司五個項目運營子公司將相關項目餘熱發電資產以協議轉讓方式轉讓給天山股份所屬五家水泥企業，交易價格以經國資備案的評估報告記載的相關餘熱發電資產截至2019年6月30日的評估值為基準確定，最終確認交易價格為人民幣9,860.87萬元，此外因庫車項目水泥窯實際運轉率未達到《投資合同》、《合作約定書》約定，庫車水泥需按照《投資合同》2.3條約定的因供電量不足導致庫車節能減少的收入，向庫車節能一次性支付人民幣4,735.10萬元。綜上所述，本次交易的款項合計為人民幣1.46億元。
