新興裝備(002933.SZ)擬與寶藍物業續簽房屋租賃合同 交易總額約1.52億元
格隆匯11月25日丨新興裝備(002933.SZ)公佈，公司於2019年11月25日召開第三屆董事會第十次會議，審議通過了《關於續簽房屋租賃合同的議案》，鑑於公司與寶藍物業服務股份有限公司(“寶藍物業”)簽署的《房屋租賃合同》即將到期，為滿足公司生產經營及日常辦公需要，同意公司與寶藍物業續簽《房屋租賃合同》，並授權公司管理層辦理合同後續相關事項。
此次續簽租賃面積合計約6688平方米，租賃期限為12年，交易總金額約1.52億元(含租金及冷暖費、物業費)。上述資金來源為公司自有資金，此次交易不構成關聯交易，亦不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
租賃標的：
1、北京市海淀區杏石口路80號B區2號樓一層110號，承租建築面積為2,000平方米(含應分攤的大廈公用面積，“租賃標的一”)
2、北京市海淀區杏石口路西杉創意園四區4號樓一至四層，承租建築面積為4,368平方米(含應分攤的大廈公用面積，“租賃標的二”)
3、北京市海淀區杏石口路西杉創意園四區4號樓地下一層101號，承租建築面積為320平方米(含應分攤的大廈公用面積，“租賃標的三”)
租賃期限：租賃標的一：房屋租賃期限12年，自2019年11月23日起至2031年11月22日止；租賃標的二：房屋租賃期限12年，自2019年10月26日起至2031年10月25日止；租賃標的三：房屋租賃期限12年，自2019年10月26日起至2031年10月25日止。
租賃標的一租賃用途為生產；租賃標的二租賃用途為辦公、生產；租賃標的三租賃用途為庫房。
租賃標的一：第一年應付租金300.12萬元。自合同簽訂之日起五個工作日內，公司向寶藍物業繳納保證金50.02萬元。租賃標的二：第一年應付租金831.32萬元。自合同簽訂之日起五個工作日內，公司向寶藍物業繳納保證金138.55萬元。租賃標的三：第一年應付租金30.45萬元。自合同簽訂之日起五個工作日內，公司向寶藍物業繳納保證金5.08萬元。以上租金每三年遞增6%，但在合同約定的遞增起始日前3個月內，公司出於經濟形勢、房屋租賃市場行情等商業因素考量，可就租金遞減幅度提出重新協商的要求，雙方可就協商結果簽訂補充協議。
此次租賃是根據公司自身發展及生產經營的實際需要，出租方為公司長期租賃的物業公司，租賃關係穩定，交易定價公允。此次租金來源為公司自有資金，不會對公司的財務狀況、經營成果構成重大影響，不存在損害公司及中小股東利益的情形。
