海能達(002583.SZ)擬2.98億元轉讓諾薩特100%股權予海能達投資 預計增加淨利潤2.3億元
格隆匯11月24日丨海能達(002583.SZ)公佈，公司擬將全資子公司深圳市諾薩特科技有限公司(“諾薩特”)100%的股權轉讓給深圳市海能達投資有限公司(“海能達投資”)。
此次交易對方(海能達投資)的控股股東為陳清州，與公司的控股股東、實際控制人為同一人，根據深圳證券交易所《股票上市規則》10.1.3及10.1.5之規定，海能達投資屬於公司關聯法人，此次交易構成關聯交易。
諾薩特成立於2012年4月，註冊地址為深圳市龍崗區寶龍街道寶龍四路3號海能達科技廠區1號廠房，註冊資本400萬元。法定代表人為曾華，税務登記證號91440300595697125P，經營範圍為：衞星通信設備系統、零配件的研發與銷售，近地小衞星設備系統研發與銷售；計算機軟硬件、通訊產品技術開發及銷售；國內貿易；經營進出口業務；自有物業租賃；物業管理。（法律、行政法規或者國務院決定禁止和規定在登記前須經批准的項目除外）^倉儲管理及相關配套服務。
截至2019年9月30日，諾薩特的資產總額約15.93億元，淨資產為6751.22萬元，2019年前三季度公司營業收入約8.70億元，主要是作為公司集採平台的原材料銷售收入，淨利潤-1765.53萬元，以上數據已經具有證券從業資格的致同會計師事務所(特殊普通合夥)審計並出具標準無保留意見審計報告。
評估結論為：在評估基準日2019年9月30日持續經營前提下，諾薩特評估前資產總額約15.93億元，負債總額約15.25億元，淨資產為6751.22萬元；評估後資產總額約18.22億元，負債總額約15.25億元，淨資產約2.98億元，評估增值約2.30億元，增值率為340.76%。
此次交易價格是以《評估報告》為參考依據，各方協商確定最終交易價格約2.98億元。
值得注意的是，截止2019年9月30日，諾薩特應收公司及其子公司的往來款淨額約4.31億元，其中約3.89億元為諾薩特作為集採平台轉售原材料的應收款項，此部分金額公司及其子公司將根據與外部供應商達成的付款計劃向諾薩特逐步支付，諾薩特承諾收到以上款項後立即支付給對應的供應商，預計在交易協議簽署後的1年內支付完畢；剩餘的4178.66萬元公司承諾將在股權轉讓完成後一個季度內支付完畢。
根據公司戰略規劃調整，目前諾薩特的主營業務以物業租賃、物業管理為主，非公司核心業務，此次股權轉讓的目的是為了盤活公司資產，優化公司資產結構，提升公司主營業務經濟效益，符合公司整體戰略規劃，有利於公司未來發展。
此次股權轉讓實施後，轉讓價款和賬面成本的差額將計入公司的損益，對公司財務狀況和經營成果有正面影響，預計將增加交易完成年度淨利潤約2.3億元(税前)。此次股權轉讓完成後，公司不再持有諾薩特的股權。
