貴人鳥(603555.SH)近幾日股價漲幅較大 存大額債務違約風險
格隆匯11月22日丨貴人鳥(603555.SH)公佈，公司股票於2019年11月20日、11月21日及11月22日連續三個交易日內收盤價格漲幅偏離值累計達到20%，根據《上海證券交易所交易規則》的有關規定，屬於股票交易異常波動情形。
經公司自查並向控股股東及實際控制人核實，截至公告披露日，除公司已披露事項外，不存在應披露而未披露的重大事項。
近期，公司股價實際波動幅度較大，超過大部分同行業公司股價漲幅，也超過上證指數、紡織服裝板塊漲幅。截至2019年11月22日收盤日，公司動態市盈率為負，與同行業相比，盈利能力較弱。敬請廣大投資者注意二級市場交易風險，理性決策，審慎投資。
公司存在大額債務違約風險。公司2016年度第一期非公開定向債務融資工具(“16貴人鳥PPN001”)應於2019年11月11日兑付，由於公司融資渠道嚴重受限，償債能力持續惡化，流動性趨緊，且公司難以在短期內處置相關資產籌措本期債務兑付資金等原因，公司未能按照約定籌措足額償付資金，“16貴人鳥PPN001”不能按期足額支付本息，目前已經處於違約狀態。
公司於2014年12月3日發行的“貴人鳥股份有限公司2014年公司債券”(“14貴人鳥”)，債券餘額為6.47億元，期限為5年，將於2019年12月3日到期。目前，公司能否按照約定籌措足額的償付資金，其能否按期償付14貴人鳥債券本息存在重大不確定性。
截至公告披露日，控股股東貴人鳥集團(香港)有限公司所持有的公司股份42654.73萬股(佔公司總股本67.86%，佔控股股東所持有公司股份的89.03%)仍處於凍結或輪候凍結狀態，其中將被司法拍賣的數量為6769.50萬股，佔公司總股本的10.77%，佔控股股東所持有公司股份的14.13%。上述股權的拍賣不會導致公司的控股股東和實際控制人發生變化。
目前，貴人鳥集團與其相關債權方的債務處置尚未取得實質性的進展，如有相關進展，公司將及時按照相關規定履行信息披露義務。
