大唐發電(00991.HK)第十屆五次董事會會議決議
格隆匯11月22日丨大唐發電(00991.HK)公佈，於2019年11月22日召開的第十屆五次董事會會議， 會議審議並一致通過如下決議：
一、審議通過《關於大唐淮北發電廠8號機組及老廠區土地等資產處置方案的議案》
同意公司公開掛牌轉讓大唐淮北發電廠8號機組所涉及的機器設備、電子辦公設備("機器設備類資產")以及部分房屋建築物、構築物和其他地上附着物資產("房屋建築類資產")，機器設備類資產掛牌價格不低於評估值人民幣36,539.82萬元，房屋建築類資產掛牌價格不低於評估值人民幣36,061.64萬元。
同意在上述房屋建築類資產轉讓成交後，對房屋建築類資產所佔用的約1,459.87畝土地(最終以測量結果為準)，根據政府的批准，由房屋建築類資產的受讓方支付我方土地使用權價款並補繳土地出讓金，土地使用權價款按照平均276.81元/平方米計算。
二、審議通過《關於成立遼寧莊河核電有限公司的議案》
同意大唐國際合資成立遼寧莊河核電有限公司，負責遼寧莊河核電項目的開發和前期工作。遼寧莊河核電有限公司由大唐國際控股，持股比例為46%。按照持股比例，大唐國際首次出資額為人民幣3.68億元。
三、審議通過《關於對大唐國際核電有限公司進行吸收合併的議案》
同意由公司對大唐國際核電有限公司進行吸收合併，吸收合併後公司存續經營，對大唐國際核電有限公司的法人資格進行註銷。此次吸收合併完成後，大唐國際核電有限公司的全部資產、負債及權益由大唐國際承擔和享有。同意將該事項提請公司股東大會審議批准。
四、審議通過《關於再生資源公司氧化鋁相關資產處置方案的議案》
同意將內蒙古大唐國際再生資源開發有限公司氧化鋁系統相關資產對外公開掛牌轉讓，首次掛牌價格不低於評估值人民幣133,356.89萬元。如首次掛牌未徵集到意向受讓方，同意進行第二次掛牌，第二次掛牌價格在首次掛牌價格的10%以內下調。
五、審議通過《關於河北發電公司馬頭熱電分公司關停燃煤機組固定資產報廢的議案》
同意按照《企業會計準則》和大唐國際相關財務會計制度的規定，對大唐河北發電有限公司馬頭熱電分公司已關停的8號燃煤機組固定資產進行報廢處理，涉及報廢固定資產原值為人民幣40,386.12萬元，淨值為人民幣11,351.55萬元。
六、審議通過《關於河北發電公司馬頭熱電分公司7、8號機組報廢資產轉讓方案的議案》
同意將大唐河北發電有限公司馬頭熱電分公司7號、8號機組報廢資產對外公開掛牌轉讓，首次掛牌價格不低於評估值人民幣5,000.80萬元。如首次掛牌未徵集到意向受讓方，同意進行第二次掛牌，第二次掛牌價格在首次掛牌價格的10%以內下調。
