特力Ａ(000025.SZ)擬清算註銷安徽投資及安徽金尊
格隆匯11月22日丨特力Ａ(000025.SZ)公佈，公司於2019年11月22日召開了九屆董事會第十次臨時會議，審議通過了《關於對控股子公司安徽特力星光珠寶投資有限公司、控股三級子公司安徽特力星光金尊珠寶有限公司進行清算註銷的議案》，並授權管理層按照法定程序辦理清算、註銷等相關事宜。根據深圳證券交易所《股票上市規則》和《公司章程》，此次清算、註銷事項在公司董事會審批權限內，無需提請公司股東大會審議。此次清算、註銷事項不構成關聯交易，也不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
安徽特力星光珠寶投資有限公司經營範圍：黃金、鉑金、珠寶首飾、工藝品(含網上銷售);珠寶投資、自營和代理各類商品和技術進出口業務(除國家規定外);物業租賃;企業管理服務;珠寶技術開發、技術諮詢、技術轉讓;珠寶培訓;數據處理;鐘錶、郵品、錢幣(退出流通領域的);珠寶首飾、紀念品、工藝美術品修舊改制。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
安徽特力星光金尊珠寶有限公司經營範圍：黃金、鉑金、珠寶首飾、工藝品銷售(含網上銷售);珠寶投資、自營和代理各類商品和技術進出口業務(除國家規定外);物業租賃;企業管理;珠寶技術開發、技術諮詢、技術轉讓;珠寶培訓;數據處理;鐘錶、郵品、非流通貨幣銷售;珠寶首飾、紀念品、工藝美術品修舊改制。(未經金融監管部門批准,不得從事吸取存款、融資擔保、代客理財等金融業務)。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
公司控股子公司安徽特力星光珠寶投資有限公司（“安徽投資”）的控股子公司安徽特力星光金尊珠寶有限公司（“安徽金尊”）由於經營狀況不佳，各方股東經研究決定關閉門店停止對外經營，並對門店的固定資產進行處置。截至 2019年9月16日，已完成對安徽金尊除電梯外的所有固定資產的處置，並收到資產轉讓款項，基本完成閉店停業的相關工作。鑑於安徽金尊已經處於停業狀態，已無實際的經營行為；安徽投資的職能為作為投資主體投資設立安徽金尊，無其他經營行為。為優化資源配置，降低管理成本，提高運營效率，公司決定對控股子公司安徽投資、控股三級子公司安徽金尊進行清算，並對安徽金尊的剩餘債務進行處理，並授權管理層按照法定程序辦理清算、註銷等相關事宜。
此次清算註銷控股子公司安徽投資、控股三級子公司安徽金尊有利於優化資源配置、降低管理成本、提高運營效率。清算註銷完成後將不再納入特力集團合併財務報表範圍，由於原有業務經營規模較小，不會對公司合併財務報表產生實質性影響，對公司整體業務發展和正常經營無重大影響，不存在損害上市公司及股東利益的情形。
